Each party agrees to indemnify and hold harmless Broker from claims, liabilities, costs and expenses, including reasonable attorneys' fees, arising from the party's breach or negligent performance under this Addendum.

In the event of breach or default, the non-breaching party shall be entitled to all remedies available at law or in equity, including specific performance and recovery of attorneys' fees if provided by applicable law or contract.

Governing Law; Entire Agreement

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. This Addendum, together with the underlying agreement, constitutes the entire agreement among the Parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements and understandings relating thereto.
