REAL ESTATE BULK SALE AGREEMENT

This Real Estate Bulk Sale Agreement (the Agreement) is made and entered into as of (Agreement Date) by and between:

PARTIES

PROPERTY SCHEDULE (BULK LOT)

The Seller agrees to sell, and the Buyer agrees to purchase, collectively (the Properties) the real property described below as part of a single bulk conveyance:

Additional properties (if any) shall be identified on an attached Schedule A and are incorporated herein by reference. Attachments shall be deemed part of this Agreement and identified by the Buyer and Seller initials at closing.

PURCHASE PRICE AND PAYMENT

Deposit shall be delivered to the Escrow Agent within days following the Effective Date. If Buyer defaults, Seller may retain the earnest money as liquidated damages except as otherwise provided herein.

DUE DILIGENCE, INSPECTIONS, AND CONTINGENCIES

Buyer shall have days from the Agreement Date (the Inspection Period) to conduct inspections, review leases, financial records, title matters, and environmental reports. Buyer may terminate during the Inspection Period by written notice to Seller and receive return of the earnest money, subject to obligations set forth herein.

Financing contingency: Buyer acknowledges the transaction is subject to obtaining financing If checked, lender and financing terms to be specified in writing and good faith efforts to obtain financing shall be required.

TITLE, SURVEYS, AND CLOSING

At closing, Seller shall deliver fee simple marketable title by general warranty deed (or other agreed instrument) free of liens and encumbrances except those permitted by this Agreement and disclosed to Buyer in writing prior to the expiration of the Inspection Period. Title shall be conveyed subject only to matters acceptable to Buyer in writing.

REPRESENTATIONS AND WARRANTIES

Seller represents and warrants to Buyer as of the Agreement Date and as of closing that to Seller's knowledge: (a) Seller has good and marketable title to each Property and authority to enter into this Agreement; (b) there are no undisclosed material violations of law or building codes affecting the Properties; (c) there are no undisclosed environmental conditions materially affecting the Properties; and (d) all rents, taxes, assessments, and utilities have been disclosed as provided herein. Seller's representations survive closing for a period of months.

BULK SALE COMPLIANCE AND CREDITOR NOTICES

The parties acknowledge this transaction constitutes a bulk sale of multiple real properties. Seller agrees to provide any statutorily required notices to known creditors and to cooperate with Buyer and Escrow to satisfy any applicable bulk sale requirements prior to or at closing. Seller shall deliver written evidence of compliance to Buyer at closing.

DEFAULT, REMEDIES AND LIQUIDATED DAMAGES

If Buyer fails to close in accordance with this Agreement (other than by Seller's breach), Seller may retain the earnest money as liquidated damages and pursue other remedies at law. If Seller fails to close, Buyer may elect specific performance or return of earnest money plus reasonable costs and expenses incurred in connection with the transaction.

INDEMNIFICATION

Seller shall indemnify and hold Buyer harmless from losses arising from breaches of Seller's representations and from undisclosed liabilities affecting the Properties prior to closing. Buyer shall indemnify Seller from liabilities arising from Buyer's actions after closing. Indemnification obligations shall survive closing as specified in this Agreement.

CLOSING DELIVERABLES

At Closing, Seller shall deliver: (a) executed deeds conveying title to Buyer; (b) affidavits required by Escrow or title insurer; (c) evidence of satisfaction of liens, if any; (d) bills of sale for included tangible personal property (if any); and (e) written statements of rents, deposits, and lease status for leased Properties.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state where the majority of the Properties are located. This Agreement, together with all exhibits and schedules, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof. No amendment shall be effective unless in writing and executed by both parties.

MISCELLANEOUS

Allocation of purchase price among Properties shall be agreed prior to closing and recorded in Escrow instructions. Closing costs, title insurance premiums, transfer taxes and prorations shall be allocated as agreed in writing and customarily borne in similar transactions unless otherwise provided herein.
