What a Real Estate Business Agreement Covers

A Real Estate Business Agreement is a written contract that defines the commercial relationship between parties engaged in real estate activities — for example, brokerage services, property management, joint ventures, investor partnerships, or referral arrangements. It sets scope, duties, payment terms, term and termination rules, and allocation of liabilities. The agreement also identifies property or portfolio specifics and any required disclosures. When executed correctly, it creates enforceable rights and obligations under applicable state contract law and can be executed electronically consistent with the ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes.

Why a Formal Agreement Matters for Real Estate Deals

A clear written agreement reduces ambiguity about duties, payment, and risk allocation, improves enforceability, and documents consent. Proper drafting addresses closing logistics, recordation, licensing, and dispute resolution to limit costly misunderstandings.

Why a Formal Agreement Matters for Real Estate Deals

Who Typically Uses a Real Estate Business Agreement

The document serves multiple roles across the transaction lifecycle and different business functions.

  • Brokers and agents managing commission splits, referral fees, and client representation responsibilities in transactions.
  • Property managers and owners formalizing management fees, maintenance obligations, and tenant-related duties for specific properties.
  • Investors and joint-venture partners allocating capital contributions, profit distributions, decision rights, and exit mechanics.

Select clauses and execution requirements vary by role; tailor language to each party’s responsibilities and authority.

Essential Parts to Include in a Professional Agreement

A complete agreement organises the transaction by naming parties, defining the property and services, stating financial terms, and assigning liability and dispute processes. Each section reduces downstream risk and clarifies performance expectations.

Parties

Identify legal names and entity types for every contracting party and any authorized signatory limits; include EIN or registration number where applicable.

Scope

Describe services, deliverables, property identifiers, and any excluded activities, using exhibits for schedules, addresses, or unit numbers.

Term

Specify effective date, renewal terms, termination triggers, notice periods, and any survival clauses for confidentiality or indemnity.

Consideration

State fixed amounts, fee schedules, commission percentages, payment timing, invoicing, and retained escrow or deposit handling instructions.

Responsibilities

Allocate duties such as maintenance, insurance procurement, tax reporting, licensing compliance, and who handles vendor contracts.

Dispute Resolution

Include choice of law, venue, arbitration or mediation clauses, and attorney-fee provisions to streamline enforcement and litigation risk.

Step-by-Step: How to Prepare and Execute the Agreement

Follow these four core steps to create a complete and enforceable Real Estate Business Agreement.

  • 01
Gather details: Collect party IDs, property legal description, and financial terms.
  • 02
Draft terms: Use clear clauses for scope, payment, duration, and exit mechanics.
  • 03
Review legally: Have counsel check regulatory, tax, and recording consequences.
  • 04
Execute properly: Sign, notarize if required, and distribute executed copies to all parties.

Configuring an Online Signing Workflow

Set up a structured e-signing workflow to ensure correct signing order, authentication, and storage.

Field Configuration
Document type Select contract template or upload final PDF for signing
Signing order Choose sequential or parallel routing per party roles
Authentication Enable email, SMS code, or stronger ID verification
Reminders & storage Set automatic reminders and secure cloud retention

Technical Considerations for eSigning and Distribution

Confirm file formats, authentication methods, and integrations before sending documents for signature.

  • File types: PDF, DOCX supported
  • Integrations: CRM and storage connectors
  • Auth options: Email, SMS, KBA

Where to Send or File the Executed Agreement

Identify final destinations for executed copies and any required public filings to complete the transaction.

  • Send to Parties: Provide each signer with a final signed copy for records.
  • File with Recorder: Record deeds or conveyances at the county recorder's office when needed.
  • Deliver to Lender: Submit executed agreements to lenders or escrow as required.
  • Provide to Title: Share executed documents with title company for closing and policy issuance.

Key Dates and Deadlines to Track

Monitor contract timelines and notice windows carefully; missed deadlines can alter obligations or trigger penalties.

Effective Date:

When rights and duties commence under the contract.

Milestone Dates:

Performance deadlines for inspections, repairs, or deliverables.

Closing Date:

Target date for final transfer, funding, or possession.

Notice Periods:

Contractual windows for termination or cure notices.

Recordation Deadline:

Timeframe to record instruments to protect priority.

Notarization and Witness Steps for Execution

Follow prescribed steps for notarization or witness authentication to ensure enforceability and acceptability for recording.

01

Prepare final copy

Use the executed version for notarization to avoid later amendments.

02

Identify signers

Confirm authorized signatory and capacity for entities.

03

Verify identity

ID checks via government ID, KBA, or RON credentialing.

04

Choose notarization

In-person notary or Remote Online Notarization (RON) per state rules.

05

Arrange witnesses

Provide required number of witnesses when state law requires them.

06

Record audio-video

Retain RON recording per state retention rules if used.

07

Notary journal entry

Ensure notary records the act and signer proofing method.

08

File recorded deed

Submit notarized documents to county recorder for indexing.

Common Preparation Errors to Avoid

  • Using informal or ambiguous payment language that leaves settlement timing undefined and causes disputes.
  • Failing to verify entity authority or signatory capacity, which can make the agreement voidable or require ratification.
  • Submitting incomplete property descriptions to the recorder, leading to recording rejection or title defects.
  • Skipping required witness or notarization steps in jurisdictions that mandate them, risking unenforceability or rejection.

Consequences of an Incorrect or Incomplete Agreement

Voidable Agreement: May be unenforceable
Recording Rejection: Title and priority risk
Contract Damages: Monetary liability exposure
Escrow Delays: Closing timeline disruption
Tax Consequences: Reporting or withholding issues
Lien Exposure: Unresolved contractor or vendor claims
