REAL ESTATE BUYBACK ADDENDUM

  2. Inspections: Buyer shall permit Seller and Seller's agents reasonable access for inspection. Seller's repurchase obligation is contingent upon Seller's acceptance of the inspection results within days of notice.
  3. Financing: If Seller requires financing to effect repurchase, Seller must deliver written evidence of financing approval to Buyer no later than .
  4. Default: Seller may not exercise repurchase right while Buyer is in material default of the Purchase Agreement, unless Seller elects otherwise in writing.

Exercise of Buyback Right; Notice

To exercise the buyback right, Seller must deliver written Notice of Exercise to Buyer and to Escrow Holder at the addresses set forth in the Purchase Agreement. Notice of Exercise must be delivered not later than the end of the Buyback Period and shall specify the proposed Closing Date, which shall be no less than days following delivery of Notice of Exercise.

Possession, Prorations and Adjustments

Possession at Closing shall be delivered in the same condition as at Buyer's initial acceptance, subject to ordinary wear and tear. All real property taxes, assessments, rents, utilities and other prorations shall be adjusted as of the Closing Date in accordance with customary local practice.

Representations and Warranties; Disclosures

Each party represents and warrants that it has the power and authority to enter into this Addendum and that execution and performance will not violate any other agreement. Seller represents that, to Seller's actual knowledge, there are no material undisclosed defects except as disclosed below.

Default; Remedies

If Seller properly exercises the buyback right in accordance with this Addendum and fails to close on the scheduled Closing Date, Buyer may seek specific performance, recover actual damages, or terminate this Addendum and the underlying Purchase Agreement and pursue such remedies as allowed by law. If Buyer fails to perform at Closing after Seller has validly exercised the buyback right, Seller may retain earnest money as liquidated damages or seek specific performance, at Seller's election.

Escrow and Closing

Closing shall occur at the Escrow Holder identified above on the agreed Closing Date. All transfers and conveyances shall be by general warranty deed (or equivalent) and shall convey title free and clear of liens and encumbrances except as otherwise expressly agreed in writing. Closing costs and prorations shall be allocated per the Purchase Agreement unless otherwise modified herein.

Governing Law; Entire Agreement

This Addendum shall be governed by and construed in accordance with the laws of the State of . This Addendum, together with the Purchase Agreement and any other written amendments, constitutes the entire agreement between the parties with respect to the buyback and supersedes all prior oral and written statements.

Notices

All notices required or permitted under this Addendum must be in writing and delivered in the manner specified in the Purchase Agreement. Miscellaneous

The invalidity or unenforceability of any provision of this Addendum shall not affect the validity of the remaining provisions. Time is of the essence with respect to all dates and periods set forth in this Addendum unless otherwise expressly stated.
