Buyback Terms

Buyback Price: Seller shall repurchase the Property from Buyer for the sum of $ (the "Buyback Price"), less adjustments and prorations described herein.

Earnest Money / Deposit Disposition: Any earnest money currently held in escrow pursuant to the Purchase Agreement shall be disposed as follows:

Closing and Escrow: Closing of the buyback shall occur within calendar days after Seller's timely exercise of the buyback right by written Notice delivered as set forth below. All buyback closings shall be conducted through escrow and shall convey marketable title subject only to permitted exceptions.

Notice and Exercise Procedure

To exercise the buyback right, the exercising party must deliver a written Notice of Exercise to the other party at the addresses set forth below. Notice is effective upon actual receipt. The Notice must state the Triggering Event relied upon and the intended closing date.

Title, Inspections and Condition

Title: Seller shall convey title by general warranty deed at Closing, free and clear of liens and encumbrances except those permitted in writing. Buyer shall cooperate in the release of any voluntary encumbrances required to effectuate the buyback.

Inspections: Unless otherwise agreed, inspections shall be limited to the matters necessary to confirm no material adverse condition not previously disclosed. Buyer shall permit reasonable access to the Property for such inspections.

Default, Remedies and Damages

Upon a timely and valid exercise of the buyback right, the parties shall proceed to Closing in accordance with this Addendum. The parties agree that monetary damages may be inadequate and that equitable relief is available.

Costs, Prorations and Adjustments

Closing costs, escrow fees, title charges, recording fees and prorations of taxes, assessments and rents shall be allocated in accordance with the Purchase Agreement, except as expressly provided otherwise in this Addendum:

Representations, Warranties and Indemnity

Each party represents and warrants that it has authority to enter this Addendum, that the execution and delivery of this Addendum has been duly authorized, and that upon execution this Addendum will be a binding obligation. The party exercising the buyback right shall indemnify and hold harmless the other party from claims arising from the exercising party's breach of its obligations under this Addendum, except to the extent caused by the indemnitee's own acts or omissions.

Miscellaneous Provisions

Governing Law: This Addendum shall be governed by and construed in accordance with the laws of the state where the Property is located.

Entire Agreement: This Addendum, together with the Purchase Agreement, constitutes the entire agreement between the parties with respect to the buyback rights granted herein and supersedes all prior understandings. In the event of any conflict between this Addendum and the Purchase Agreement, this Addendum shall control only with respect to the matters expressly addressed herein.

Amendment and Waiver: No amendment or waiver of any provision of this Addendum shall be effective unless in writing and signed by the party against whom enforcement is sought.

Acknowledgment

The parties acknowledge that they have read and understand this Addendum, have had an opportunity to obtain independent advice, and agree to be bound by its terms.
