Broker Duties and Buyer Obligations

Broker will not disclose confidential information of the Buyer without written consent, except as required by law.

Buyer agrees to work exclusively with Broker during the term if the Exclusive Right to Represent Buyer option is selected, to provide accurate financial information necessary for property evaluation, to cooperate in negotiation and closing, and to refer all property opportunities to Broker during the term.

Broker shall disclose the existence of any potential conflict of interest or dual agency relationship. Buyer acknowledges receipt of disclosure relating to dual or limited agency and:

Termination; Remedies; Default

This Agreement may be terminated by mutual written consent, by expiration of the term, or by either party for material breach after ten (10) days' written notice and opportunity to cure. If Buyer enters into a binding contract to purchase property procured by Broker during the term or any negotiated extension, Broker shall be entitled to the agreed compensation. If Buyer unlawfully terminates this Agreement in bad faith, Broker may seek damages and reasonable attorney's fees.

Indemnification; Insurance

Buyer agrees to indemnify and hold harmless Broker and Broker’s agents from claims arising from Buyer’s misrepresentations or breach of this Agreement, except where such claims arise from the negligent or willful misconduct of Broker. Buyer is encouraged to maintain appropriate insurance coverage for any property acquisitions.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the property is located. This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior negotiations and agreements.
