REAL ESTATE BUYER AGENCY CONTRACT

This Buyer Agency Contract ("Agreement") is entered into on , between the undersigned Buyer and Broker under the terms set forth below.

Broker agrees to act as Buyer’s exclusive agent to locate and assist Buyer in acquiring real property described below (the "Property") or similar properties within the search parameters specified. Broker’s duties include: identifying properties, scheduling showings, advising on market conditions, assisting in preparing offers, negotiating terms and coordinating closing activities.

This Agreement commences on , and shall expire on , unless earlier terminated as provided herein.

4. Compensation

Buyer understands and agrees that Broker’s compensation shall be payable as set forth below. Broker may be entitled to commission whether the purchase is procured by Broker, Buyer, or another licensed broker, if Buyer enters into a binding purchase agreement for property located during the term of this Agreement or within the protection period specified below.

If the seller/other party offers compensation to Buyer’s Broker, such payment will be credited against amounts due from Buyer under this Agreement. If seller compensation is insufficient or not offered, Buyer agrees to pay Broker the agreed commission or fee as indicated above upon closing or as otherwise agreed in writing. Broker shall have a right to seek collection of commission from Buyer in courts of competent jurisdiction if commission is due under this Agreement.

5. Dual Agency and Consent

Broker may cooperate with other brokers, and Broker or brokerage may represent both Buyer and Seller in the same transaction only with full written consent. Buyer acknowledges receipt of a written agency disclosure and provides the following consent:

Buyer grants consent to Dual Agency if it becomes necessary in a transaction, subject to Broker’s duties of confidentiality and full disclosure as required by applicable law.

6. Buyer and Broker Obligations

Buyer agrees to: (a) work exclusively with Broker during the term of this Agreement in locating properties; (b) provide accurate financial information to evaluate financing ability; (c) refer any property identified outside Broker’s efforts to Broker for determination of commission responsibilities. Buyer acknowledges Buyer’s obligation to make timely deposits (earnest money) as required by any purchase contract.

7. Inspections, Contingencies and Closing

Buyer acknowledges the right and responsibility to obtain independent inspections, investigations, and legal or tax advice. Inspection period: from acceptance of any purchase contract unless otherwise agreed in writing.

Buyer acknowledges receipt of the following property condition disclosures from Broker or Seller, if applicable, and affirms Buyer shall conduct independent investigation.

9. Default and Remedies

If Buyer breaches this Agreement, Broker may be entitled to liquidated damages equal to the commission described in Section 4, plus costs and reasonable attorneys’ fees, to the extent permitted by law. Broker’s remedies are cumulative and in addition to any other remedies available at law or in equity.

10. Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other addresses as either party may designate in writing.

11. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between Buyer and Broker relating to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Amendments must be in writing and signed by both parties.

12. Miscellaneous

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Time is of the essence with respect to all dates and deadlines in this Agreement.
