REAL ESTATE BUYER REPRESENTATION AGREEMENT

This Buyer Representation Agreement ("Agreement") is entered into between:

Broker Duties and Authority

Broker shall use reasonable skill and diligence in locating properties, advising Buyer on market conditions, negotiating offers and assisting through closing. Broker is authorized to communicate Buyer’s offers, submit documents and advise Buyer in writing or orally. Broker shall promptly present all offers and communications to Buyer.

Buyer Duties

Buyer shall cooperate with Broker, disclose material financial information relevant to transactions, timely respond to communications, and direct inquiries from other brokers to Broker. Buyer shall notify Broker promptly of all properties viewed, offers made, or agreements entered into during the Term.

Compensation and Commission

Unless otherwise agreed in writing for a particular transaction, Buyer agrees that Broker's compensation for services rendered in connection with any purchase of real property during the Term shall be:

Commission shall be earned upon mutual execution of a purchase agreement or at closing as set forth in the purchase contract. Buyer acknowledges Broker may receive compensation from other parties; Broker shall disclose any such third-party compensation when known.

Broker may represent both Buyer and Seller in the same transaction only with Buyer's informed written consent. Buyer acknowledges that dual representation may limit Broker's ability to advocate exclusively for Buyer.

Expenses and Other Charges

Buyer acknowledges receipt of the following disclosures (if known) and shall promptly inform Broker of any other material facts affecting Buyer’s transaction:

Confidentiality and Disclosure of Buyer Information

Buyer authorizes Broker to disclose Buyer’s information to cooperating brokers, lenders, escrow and title companies as reasonably necessary.

Default, Remedies and Indemnification

If Buyer breaches this Agreement or a resulting purchase contract, Buyer may be liable for Broker’s commission and other remedies at law or equity. Broker shall not be liable for Buyer’s failure to close due to Buyer’s inability to perform. Buyer shall indemnify Broker against claims arising from Buyer’s misrepresentations or breach.

Termination

This Agreement may be terminated by mutual written consent or by either party for material breach upon days' prior written notice. Termination shall not affect obligations regarding compensation for transactions resulting from Broker’s efforts during the Term.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the state of . Any controversies arising under this Agreement shall be resolved by binding arbitration unless the parties mutually agree otherwise.

Entire Agreement

This Agreement, together with any addenda executed by the parties, constitutes the entire agreement between Buyer and Broker with respect to the subject matter herein and supersedes all prior agreements, representations and understandings, whether written or oral.
