Broker Duties and Authority

Broker will use professional efforts to locate, show and evaluate properties and to assist Client in preparing and presenting offers. Broker shall: (a) advise Client on market conditions and strategy; (b) assist in negotiating price and terms; (c) present offers to sellers or listing brokers; (d) coordinate inspections and due diligence; and (e) comply with applicable licensing and disclosure obligations. Broker has no authority to bind Client or to execute contracts on Client’s behalf unless expressly authorized in writing.

Client Duties

Client agrees to: (a) work exclusively with Broker if Exclusive Buyer Agency is selected; (b) provide accurate financial information and documentation necessary to evaluate and complete transactions; (c) immediately refer any property shown to Client by other brokers to Broker for cooperation and fee allocation; and (d) notify Broker promptly if Client enters into any agreement with another agent.

Broker Compensation

Client and Broker agree that Broker’s compensation shall be as follows (select or complete applicable provision). Broker’s right to compensation is independent of whether Consumer purchases a property and survives termination as set forth below.

If the Client enters into a purchase agreement for a property identified or shown by Broker within days after expiration or termination of this Agreement for which a closing occurs, Broker shall be entitled to compensation as provided above if the Client procured or was introduced to the property by Broker during the term of this Agreement.

Broker will disclose to Client known material facts about properties. Client acknowledges that Broker does not guarantee fitness, condition, or zoning compliance, and Client is responsible for independent investigation.


Termination

This Agreement may be terminated by written notice by either party for material breach. Termination does not relieve Client of Broker’s right to compensation for transactions arising from Broker’s efforts during the term or during any protection period described above. Broker may withdraw upon reasonable notice if Client fails to cooperate or breaches material obligations.

Indemnification and Liability

Client agrees to indemnify and hold Broker harmless from liabilities, claims and expenses arising from Client’s misrepresentations or willful misconduct. Broker’s liability for any claim arising from or related to this Agreement shall be limited to direct damages and shall exclude consequential, incidental or punitive damages to the fullest extent permitted by law.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state in which the majority of Broker’s services are performed. This Agreement contains the entire understanding between the parties relating to the subject matter and supersedes all prior agreements and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.
