Mutual Release and Covenant

Upon disbursement of any escrow funds as set forth above, Buyer and Seller each fully and finally release, remise and discharge the other party and their agents, brokers, representatives, successors and assigns from all claims, demands, actions and liabilities arising from or related to the Purchase Agreement, except for claims expressly preserved in this Cancellation Form. This mutual release does not affect any party's obligations expressly stated herein.

Each party represents and warrants that it has full authority to enter into this Cancellation Form and that no other consents are required to effectuate the mutual termination and releases set forth herein.

Effect on Documents and Possession

All escrow instructions, deposit agreements, title commitments and related documents executed solely in connection with the Purchase Agreement shall be terminated and may be returned or released in accordance with escrow holder instructions. Any deed, transfer document, or other conveyance relating to the Property previously executed by any party is voided to the extent permitted by law, unless otherwise expressly provided in writing in this Cancellation Form.

Possession of the Property shall be governed by the Purchase Agreement and any separate possession agreement. Unless otherwise agreed in writing, Buyer shall vacate and deliver possession free of tenants and occupants and in the same condition as at contract formation, reasonable wear and tear excepted.

Costs, Prorations and Fees

Except as specified herein, each party shall bear its own attorneys' fees, costs and expenses arising from the negotiation and execution of this Cancellation Form. Any prorations of property taxes, assessments, HOA dues or utilities shall be calculated as of the Effective Date and resolved via escrow or directly between the parties as specified below.

Default, Remedies and Attorneys' Fees

A material breach of this Cancellation Form by either party shall entitle the non-breaching party to all remedies at law or equity, including specific performance, injunctive relief and recovery of reasonable attorneys' fees and costs incurred to enforce this Cancellation Form, unless otherwise waived in writing.

Governing Law and Miscellaneous

This Cancellation Form shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles. This Cancellation Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior agreements, whether written or oral, concerning the same subject.
