REAL ESTATE CANNABIS ADDENDUM

Parties and Property

This Cannabis Addendum is attached to and forms a part of the Lease/Purchase Agreement dated between Landlord and Tenant for the Property identified below.

Identification of Parties

Recitals and Purpose

The parties agree that the use, cultivation, processing, distribution, sale, or consumption of Cannabis on the Property is subject to the terms of this Addendum. This Addendum establishes binding requirements, limitations, and remedies related to cannabis-related activities to protect Landlord, Tenant, occupants, neighbors, and the Property.

Definitions

For purposes of this Addendum: "Cannabis" means all parts of the plant Cannabis sativa, whether growing or not, and derivatives. "Cultivation" means growth, propagation or harvesting. "Processing" means drying, curing, infusion, extraction or packaging. "Consumption" includes inhalation, vaping, or ingestion on the Property.

Permitted Activities (select all that apply)

Tenant represents and warrants selection below accurately reflects activities Tenant will conduct on the Property. Any activity not affirmatively permitted is prohibited unless amended in writing and signed by Landlord.

Licensing, Zoning and Compliance

Tenant shall obtain and maintain, at Tenant's expense, all licenses, permits and approvals required by applicable local, state and federal laws for any permitted cannabis activity. Tenant must provide Landlord with copies of all licenses and permits prior to commencing activity and within ten (10) days of renewal.

Tenant shall ensure that all permitted activities comply with zoning, nuisance, fire, building, health, and environmental laws and regulations. Tenant shall not rely on any representation by Landlord as to zoning or licensing eligibility.

Operations, Odor and Nuisance Control

Tenant shall operate in a manner that prevents noxious or offensive odors, smoke, dust, noise, light, or other nuisance conditions that unreasonably interfere with neighboring properties. Tenant shall install and maintain, at Tenant's expense, odor control, filtration, ventilation and HVAC modifications reasonably necessary to eliminate detectable cannabis odor beyond the Property line.

Insurance, Indemnity and Financial Responsibility

Tenant shall maintain insurance covering cannabis-related operations and property damage with minimum limits as required by Landlord. Tenant shall name Landlord as an additional insured and provide certificates evidencing coverage prior to commencing any activity and upon each renewal.

Tenant agrees to indemnify, defend and hold Landlord harmless from and against all claims, liabilities, fines, losses, costs and expenses (including reasonable attorneys' fees) arising from Tenant's cannabis-related activities, including remediation, abatement, or shut-down ordered by any governmental authority.

Inspections and Remediation

Landlord retains the right to inspect the Property for compliance with this Addendum upon reasonable notice unless exigent circumstances exist. If Landlord reasonably determines that a violation has occurred, Tenant shall promptly cure the violation at Tenant's expense. If Tenant fails to cure within the cure period specified below, Landlord may pursue remedies including abatement, remediation, termination of the Lease/Purchase Agreement, or eviction.

Prohibited Activities

The following are expressly prohibited: unlicensed commercial cultivation, manufacturing of concentrates using volatile solvents on-site, sale or distribution on the Property unless expressly permitted by Landlord in writing, and any activity that violates law, creates a fire or safety hazard, or voids insurance coverage.

Default and Remedies

A breach of this Addendum constitutes a material breach of the Lease/Purchase Agreement. Remedies available to Landlord include injunctive relief, termination, eviction, recovery of damages, remediation costs, and reasonable attorneys' fees. Landlord's election of one remedy shall not preclude pursuit of other remedies.

Representations and Warranties

Tenant represents that all information provided to Landlord regarding cannabis-related activities is true and complete. Tenant warrants that Tenant will operate in good faith, obey all applicable laws, and will promptly notify Landlord of enforcement actions, complaints, or changes to licensing status.

Notices

All notices under this Addendum shall be in writing and sent to the addresses stated below or as otherwise provided in the Lease/Purchase Agreement. Notices shall be effective upon receipt.

Governing Law; Entire Agreement

This Addendum shall be governed by the laws of the state that governs the underlying Lease/Purchase Agreement. This Addendum constitutes the entire agreement between the parties with respect to cannabis-related matters and supersedes all prior understandings. Any amendment must be in writing and signed by both parties.

Acknowledgment

By signing below, the parties acknowledge they have read, understand, and agree to be bound by the terms of this Cannabis Addendum. Tenant acknowledges that failure to comply may result in termination of tenancy, removal of cannabis-related operations, and liability for related costs.

What the Real Estate Cannabis Addendum Is

The Real Estate Cannabis Addendum is a lease or purchase addendum that documents whether and how cannabis-related activities are permitted on or around a specific property. It supplements the primary lease or purchase agreement with defined terms for cultivation, possession, use, distribution, or commercial cannabis operations, and allocates responsibilities such as compliance with state and local cannabis laws, insurance requirements, and landlord remedies.

Why this Addendum Matters for Property Transactions

A focused cannabis addendum clarifies permitted activities, reduces landlord-tenant disputes, and aligns property use with applicable state and local cannabis laws and licensing regimes. It preserves enforceability by documenting consent, limitations, insurance requirements, inspection rights, and remediation steps within the lease framework.

Why this Addendum Matters for Property Transactions

Primary Parties and Stakeholders

Each party should confirm local zoning and licensing requirements before signing and consider legal review to align the addendum with the main lease and municipal rules.

  • Commercial landlords and property managers completing lease addenda for retail or industrial spaces where licensed cannabis businesses may operate.
  • Residential landlords and tenants wanting clear rules for personal possession, consumption, or home cultivation under state law.
  • Buyers and sellers documenting intended use or restrictions when transferring title or negotiating purchase contingencies.

Step-by-Step: Complete and Execute the Addendum

Follow these sequential steps to ensure the addendum is accurate, enforceable, and synced with the primary lease or purchase contract.

  • 01
Prepare Draft: Draft specific permitted and prohibited activities tailored to property and local law.
  • 02
Verify Local Rules: Confirm municipal zoning and state cannabis licensing requirements before finalizing terms.
  • 03
Complete Fields: Fill all required fields, attach licenses, and ensure names and dates match the main agreement.
  • 04
Sign and Distribute: Obtain signatures, witness/notary if required, and provide signed copies to all parties and property records as appropriate.

Where the Addendum Fits in the Transaction Flow

The addendum is created alongside the primary agreement and routed to all relevant parties. Typical routing and filing steps are shown below.

  • Draft Integration: Attach the addendum to the lease or purchase contract as an exhibit or amendment to ensure it becomes part of the core agreement.
  • Internal Review: Share with property management, legal counsel, and insurance broker for input and risk assessment.
  • Signature Collection: Collect signatures from landlord and tenant; include witness or notary steps if required by local law.
  • Distribution and Storage: Provide executed copies to all parties, store in lease file, and, if required, record or notify local licensing authorities.

Recommended Online Workflow Settings

Configure a digital workflow that enforces field completion, signer order, and evidence capture for legal defensibility.

Field Configuration
Required Fields Make party names, address, scope of activity, and insurance fields mandatory.
Signer Order Set landlord signature first, tenant second, with optional manager countersignature.
Authentication Use email verification with optional SMS code or ID credentialing for higher assurance.
Attachments Require upload of current state business or cultivation license when applicable.

Technical Considerations for Digital Completion

Capture an auditable certificate of completion, and store signed records in a secure document management system accessible to authorized staff only.

  • File Formats: PDF and Word DOCX are recommended; preserve a signed PDF/A copy for records.
  • Integrations: Integrate with tools like Salesforce, NetSuite, or Google Workspace for storage and workflow automation.
  • Authentication: Support email links, SMS codes, and optional advanced signer verification for higher-risk transactions.

Security and Compliance Essentials for Signed Copies

Encryption: TLS 1.2/1.3 in transit
At-rest Security: AES-256 encryption at rest
Certifications: SOC 2 Type II and ISO 27001
Audit Trail: Detailed timestamps and IP logging
HIPAA BAA: Available where PHI is involved
21 CFR Support: Tools available for regulated records

Consequences of an Incomplete or Incorrect Addendum

Lease Breach: May allow landlord to seek remedies or eviction
Insurance Gaps: Uncovered liability if insurer excludes cannabis risks
Local Fines: Municipal penalties or license actions possible
License Jeopardy: Noncompliance can threaten tenant’s cannabis license
Enforceability Dispute: Ambiguous terms increase litigation risk
Reputational Risk: Neighbors or HOA complaints can escalate disputes

Common Pitfalls to Avoid

  • Vague activity descriptions that fail to distinguish possession from commercial operations
  • Omitting explicit compliance obligations tied to state and local licenses
  • Not requiring proof of insurance or failing to define minimum policy terms
  • No defined inspection or remediation process for violations

Essential Clauses to Include in a Professional Addendum

A well-drafted addendum contains discrete, enforceable clauses that cover use limits, compliance, and remedies.

Permitted Use

Precisely describe allowed activities (personal use, home cultivation, retail sale, testing) including area, quantity, and hours where applicable to avoid broad interpretation.

Prohibited Conduct

List prohibited activities such as unpermitted distribution, odor-causing cultivation methods, or hazardous extraction processes to protect property and third parties.

Licensing Compliance

Require the tenant or operator to maintain all required state and local cannabis licenses and to provide copies upon request.

Insurance Requirements

Specify types and minimum limits of coverage (general liability, product liability where relevant) and name landlord as additional insured when appropriate.

Inspection Rights

Authorize periodic inspections with reasonable notice to ensure compliance while balancing tenant privacy and statutory protections.

Remedies and Termination

Define cure periods, fines, remediation steps, and landlord termination rights for material breaches related to cannabis activities.

Time-Sensitive Dates and Notifications

Track deadlines that affect when terms take effect and how quickly parties must act on violations or license changes.

Effective Date:

Enter as MM/DD/YYYY; this is when addendum obligations begin

Signature Deadline:

Set a reasonable window (e.g., 3–7 days) for parties to sign before terms lapse

License Update Notice:

Require prompt notice of license suspension, revocation, or nonrenewal

Cure Period:

Specify time (e.g., 10–30 days) to remedy violations before escalation

Insurance Renewal:

Require proof of renewal within 30 days of policy expiration

Practical Tips for Clear, Enforceable Addenda

Adopt these practices to reduce disputes and ensure the addendum aligns with broader lease obligations and local law.

Local Law Review
Consult municipal zoning and state cannabis statutes before permitting any activity; local ordinances often impose limits or require permits that supersede lease permissions.
Be Precise and Measurable
Avoid vague terms like 'reasonable' or 'suitable.' Use measurable limits (square footage, plant counts, hours) and reference specific licensing categories where possible.
Document Proof
Require tenants to provide current licenses, insurance certificates, and periodic attestations of compliance to create an evidentiary record for enforcement.
Use Digital Signing with Audit Trail
Capture signer identity, timestamps, and an auditable certificate to strengthen evidentiary weight under ESIGN (15 U.S.C. ch. 96) and UETA where applicable.

Real-World Examples of Addendum Use
