Closing Costs, Prorations and Adjustments

Unless otherwise agreed in writing, Seller shall pay costs to effectuate conveyance, documentary transfer tax and any agreed seller concessions. Buyer shall pay recording fees, lender fees (if any), escrow fees as allocated by escrow instructions, and all costs of Buyer’s inspections.

Taxes, assessments, rents and utilities shall be prorated as of the Closing Date. Any assessments proposed but not yet levied shall be paid by Seller prior to or at closing, unless otherwise agreed.

Default, Remedies and Liquidated Damages

If Buyer defaults, Seller may retain earnest money as liquidated damages and pursue any other remedies available at law or equity. If Seller defaults, Buyer may seek specific performance or terminate and recover earnest money and actual damages. Prevailing party in any action to enforce this Agreement shall be entitled to reasonable attorneys’ fees, costs and expenses.

Risk of Loss; Insurance

Risk of loss or damage to the Property shall remain with Seller until closing. If there is substantial damage to the Property prior to closing, Buyer may elect to (a) terminate this Agreement and receive a refund of earnest money, or (b) proceed to closing with agreed reduction in price to fully compensate Buyer for cost of repair.

Title and Survey

Seller shall convey marketable title by general or special warranty deed, subject only to permitted encumbrances. Buyer may obtain title evidence and, at Buyer’s expense, a survey. Title objections must be raised prior to closing; Seller shall have a reasonable opportunity to cure objections.

Representations and Warranties

Seller warrants that Seller has full authority to convey the Property, that there are no pending actions affecting title other than as disclosed, and that Seller will deliver title at Closing as agreed. Buyer acknowledges that Buyer has had the opportunity to inspect and investigate the Property and accepts the Property in its present condition subject to Seller’s representations herein.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement, together with any written addenda, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. No modification shall be binding unless in writing and signed by both parties.
