What a Real Estate Closing Contingency Is and when it applies

A Real Estate Closing Contingency is a contractual clause in a purchase or sale agreement that conditions the closing on one or more specified events or approvals, such as buyer financing, satisfactory inspection, clear title, appraisal, or the sale of the buyer's existing property. It preserves the parties' remedies by allowing postponement, renegotiation, or termination if a listed condition is not met by a stated deadline. Contingencies should be drafted with clear deadlines, notice procedures, and explicit release or cure mechanics to avoid disputes at closing.

Why include a closing contingency in your transaction

A properly drafted closing contingency protects parties from completing a transfer under uncertain conditions by tying closing obligations to measurable events, reducing litigation risk and enabling orderly remedies when conditions fail.

Why include a closing contingency in your transaction

Who typically prepares or relies on closing contingencies

Each party should confirm the contingency language matches their risk tolerance and aligns with lender and title requirements before signing.

  • Buyers and buyer agents who need contingencies for financing, inspection, appraisal, or sale of an existing property.
  • Sellers and listing agents who seek clear cure periods, proof requirements, and deadlines to manage closing schedules.
  • Lenders, title companies, and escrow officers who require clear conditions to fund, insure, and record the transaction.

Typical signers and their roles

Buyer's Agent

A licensed real estate agent who drafts or negotiates contingency language on the buyer's behalf, ensures timelines are reasonable, coordinates inspections and financing deliverables, and communicates required notices to the seller and escrow.

Escrow Officer

A title or escrow professional who confirms contingency release conditions, coordinates title clearance and funds disbursement, and enforces notice and document delivery requirements prior to recording the deed.

Core elements to include in a professional closing contingency

A complete contingency clause identifies the condition, specifies measurable standards, sets a deadline, establishes notice and cure mechanics, and defines consequences if the condition is unmet.

Financing

Specify loan type, interest rate tolerance, lender approval deadline, and documentation required to satisfy the financing contingency to avoid ambiguity at funding.

Title Clearance

Require clear title or specified curative actions by a date; identify permitted exceptions and who pays to cure title defects to protect closing and recording.

Property Inspection

State inspection scope, repair negotiation process, and deadline for buyer's objection or acceptance, including how repair credits or escrow holdbacks are handled.

Appraisal

Define appraisal value threshold, appraisal dispute mechanism, and whether buyer may renegotiate or withdraw if appraised value is insufficient.

Sale Contingency

If dependent on selling another property, require written contract, reasonable closing window, and consequences if the prior sale fails.

HOA / Condo Docs

Require delivery and review period for association documents, approval deadline, and remedies if documents reveal material issues affecting use or assessments.

Step-by-step: drafting and using a closing contingency

Follow consistent steps from drafting to removal to ensure the contingency functions as intended and minimizes closing friction.

  • 01
Draft Clause: Define condition, standards, and deadline in plain language.
  • 02
Set Deadlines: Pick realistic timeframes based on lender and inspection availability.
  • 03
Provide Notices: Serve required notices per the agreement's delivery terms.
  • 04
Remove or Enforce: Document release or termination in writing before closing.

How a contingency moves from contract to closing

Contingencies follow a predictable flow: identification, validation, cure or release, and final confirmation to escrow or title.

  • Attach to Contract: Include contingency language within the purchase agreement.
  • Gather Evidence: Buyer assembles financial, inspection, or HOA documentation.
  • Deliver Notices: Send approvals or objections per contract methods.
  • Confirm with Escrow: Escrow records removal or unresolved exceptions before funding.

Key dates and common timing conventions

Establish clear, specific deadlines for each contingency and align them with lender and title company expectations to avoid last-minute delays.

Inspection Period:

Typically 7–14 days for inspection and buyer objections.

Financing Approval Deadline:

Often 21–30 days for lender underwriting and clear-to-close.

Appraisal Deadline:

Set within lender timeline, commonly 14–21 days.

HOA Document Review:

Allow 5–10 days for delivery and buyer review.

Final Closing Date:

The date escrow will fund and record the deed (MM/DD/YYYY).

Common drafting and execution pitfalls to avoid

  • Vague language that fails to identify measurable standards, leaving parties to litigate intent and remedy.
  • Missing or ambiguous deadlines that allow unilateral extensions and disrupt lender and escrow scheduling.
  • Improper notice instructions that omit acceptable delivery methods, causing disputes about whether a contingency was timely waived.
  • Failing to coordinate contingency removal with title and escrow, resulting in funding delays or recording errors.

Consequences of incorrect or poorly drafted contingencies

Contract Termination: Buyer or seller may lawfully cancel.
Deposit Forfeiture: Buyer risks loss of earnest money.
Delayed Closing: Escrow and lender schedules disrupted.
Lender Withdrawal: Financing approval may be rescinded.
Recording Errors: Deed may record with unresolved exceptions.
Litigation Risk: Increased dispute and legal costs.
