Effect of Addendum; Representations; Remedies

Except as expressly modified by this Addendum, the Agreement remains in full force and effect. Each party represents and warrants it has the full right, corporate or individual authority, and capacity to enter into and perform under this Addendum. This Addendum shall be binding upon and inure to the benefit of the parties and their successors and assigns.

In the event Closing does not occur by the New Agreed Closing Date due to a party's uncured breach, the non-breaching party shall have the remedies provided in the Agreement. If the Agreement does not specify remedies, the parties agree that the non-breaching party may seek specific performance, damages, or other legal or equitable relief, and the prevailing party shall be entitled to recover reasonable attorneys' fees and costs as awarded by a court.

Time is of the essence with respect to the New Agreed Closing Date and any extended deadlines set forth herein unless expressly waived in writing by the party entitled to timely performance.

Miscellaneous

This Addendum constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements solely as to the matters amended herein. In the event of a conflict between the terms of this Addendum and the Agreement, the terms of this Addendum shall control.

This Addendum shall be governed by and construed in accordance with the substantive laws of the state governing the Agreement. Any notices required or permitted under this Addendum shall be delivered in the manner set forth in the Agreement.
