What a Real Estate Closing Instruction Is and when it’s used

A Real Estate Closing Instruction is a written directive that explains how closing funds, documents, and recording actions are to be handled and delivered at the time of a property transfer. It typically sets the closing date, identifies the parties, lists the documents required for recording and title transfer, instructs the escrow or settlement agent how to disburse proceeds, and specifies conditions precedent to funding. These instructions align the buyer, seller, lender, title company, and escrow agent so that the transaction can close and record cleanly under applicable state law.

Why clear closing instructions matter

Clear Real Estate Closing Instructions reduce last-minute delays, minimize recording errors, and allocate responsibilities among parties. Well-drafted instructions protect escrow holders, ensure correct disbursements, and document the chain of authority for signatories and funds.

Why clear closing instructions matter

Who prepares and relies on closing instructions

Typical preparers and recipients of closing instructions include title officers, escrow agents, closing attorneys, lenders, and parties to the sale.

  • Title companies and escrow officers who coordinate document exchange and recording logistics.
  • Lenders and mortgage servicers who require precise payoff and funding directions to avoid errors.
  • Buyers and sellers who need clear disbursement and document-delivery expectations for finalizing the sale.

Each recipient uses the instructions to confirm deliverables, funding conditions, and post-closing recording steps.

Step-by-step: Preparing the closing instruction

Follow this sequence to create clear, enforceable closing instructions and reduce the risk of disputes or recording delays.

  • 01
Gather documents: Collect title commitment, payoff statements, and signed contract documents.
  • 02
Confirm parties: Verify legal names and capacities for each signer on government ID or corporate records.
  • 03
Draft disbursements: List payees, amounts, and wire or check instructions in priority order.
  • 04
Review and distribute: Share draft with lender/title counsel and obtain written agreement before finalizing.

How closing instructions flow through the transaction

Closing instructions move among participants to coordinate funding, signing, recording, and delivery of final documents.

  • Prepare: Originator drafts instructions and attaches required exhibits and payoffs.
  • Review: Title, lender, and counsel confirm figures and legal requirements.
  • Approve: Authorized parties sign or authorize funding conditions in writing.
  • Execute: Escrow disburses funds and arranges recording per instructions.

Digital delivery and submission considerations

Choose a platform that supports secure file formats, verifiable e-signing, and a clear audit trail for regulatory needs.

  • File formats: PDF/A or DOCX preferred for long-term retention.
  • Authentication: Use multi-factor or SMS codes for signer verification.
  • Integrations: Platform should integrate with title systems and cloud storage.

Essential data elements to include in every instruction

Property ID: Legal description or parcel number
Closing Date: MM/DD/YYYY format
Party Names: Full legal names exactly as on ID
Disbursement List: Payee names and amounts
Recording Details: Who records and fee payer
Contact Info: Phone and email for signing agents

Consequences of incorrect or incomplete instructions

Recording Rejection: Document may be refused for recordation
Funding Delays: Lenders may withhold disbursement
Tax Exposure: Incorrect reporting or 1099 errors
Escrow Dispute: Counterparties may contest disbursement
Fraud Risk: Unauthorized signatures can invalidate actions
Notary Defects: Improper notarization may void document

Common mistakes to avoid when preparing instructions

  • Using informal or abbreviated party names that do not match title or loan documents, causing identity mismatches at recording.
  • Omitting wire routing or account details for disbursements, which leads to missed funding deadlines and return transfers.
  • Failing to confirm witness or notarization requirements for the state, resulting in a nonrecordable deed or affidavit.
  • Relying on verbal approvals instead of documented, signed instructions; oral directions are hard to verify if disputes arise.

Real-world scenarios for closing instructions

These brief examples show typical ways closing instructions are used across different transaction types.

Residential Purchase

Buyer and lender coordinate a wire funding schedule and title company receives signed deed

  • Wire is scheduled to fund at 11:00 AM on closing date
  • Title records the deed, disburses payoffs, and delivers recorded documents per instruction to buyer and lender.

Refinance Closing

Borrower authorizes payoff of existing lien and escrow closing instructions to satisfy conditions

  • Closing agent confirms payoff figures before funding
  • Lender funds payoff, new mortgage is recorded, and borrower receives final loan documents and payment statements.

What professional closing instructions should include

A complete instruction set anticipates recordation needs, funding order, identity verification, and post-closing delivery. Include these elements to reduce rework and liability.

Authority Statement

A concise clause identifying who may instruct escrow and who is authorized to sign on behalf of each party, reducing disputes over capacity and delegation.

Condition Precedent

Clear conditions that must be satisfied before funds are disbursed, such as title exceptions cleared, lien payoffs confirmed, and required documents received.

Funding Order

A prioritized disbursement schedule that specifies payees, amounts, and whether disbursements occur by wire, check, or escrow holdback.

Document Routing

Instructions for who records which instrument, where to deliver originals, and how electronic copies should be stored or shared.

Notarization & Witnessing

State-specific directives on whether remote online notarization is acceptable and how many witnesses are required for each document type.

Audit Trail

A requirement that the closing process produce a timestamped audit trail showing approvals, signatures, and fund transfer confirmations.
