Default, Remedies & Indemnification

If Buyer fails to timely close in accordance with this package and related closing documents, Seller may retain earnest money as liquidated damages or pursue specific performance or other remedies consistent with law. If Seller fails to deliver marketable title, Buyer may elect to terminate and recover earnest money, pursue damages, or seek specific performance. All remedies are cumulative unless expressly stated as exclusive.

Each party agrees to indemnify and hold harmless the other party and the closing agent against any losses, costs or liabilities resulting from that party's breach of any representation, warranty or covenant contained in this package, including reasonable attorney fees incurred in enforcing rights hereunder.

Governing Law; Entire Agreement

This Closing Package, together with the purchase contract, title commitments and recorded documents executed at closing, constitute the entire agreement between Buyer and Seller with respect to the transaction. This Closing Package shall be governed by and construed in accordance with the laws of the state in which the Property is located.
