Default, Remedies, and Risk

If Buyer fails to perform, Seller's remedies include retention of earnest money as liquidated damages, specific performance, or any other remedy available at law or in equity. If Seller fails to perform, Buyer may seek specific performance or termination with return of earnest money and other remedies.

In the event of litigation arising out of this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs, in addition to other relief granted by a court.

Entire Agreement: This Agreement, together with any addenda, exhibits and written acknowledgments incorporated by reference, constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, oral or written.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld.

Survival: All representations, warranties, covenants and indemnities made in this Agreement shall survive the Closing to the extent provided herein.
