Broker Duties, Seller Duties & Indemnity

Broker will use reasonable efforts to procure a buyer, present offers promptly, and comply with all applicable licensing and fiduciary duties. Seller shall maintain the Property in substantially the same condition as of the date hereof and shall timely disclose known material facts to Broker and prospective buyers.

Seller agrees to indemnify, defend and hold Broker harmless from losses, claims or liabilities arising from Seller's breach of this Agreement, negligent misrepresentations in disclosures, or failure to disclose material facts, except to the extent caused by Broker's gross negligence or willful misconduct.

Default, Remedies & Protection Period

If Seller defaults under this Agreement, Broker shall be entitled to recover its commission as liquidated damages or pursue other remedies at law or equity. Seller agrees to a protection period of days after the Listing Period during which Broker is entitled to commission for buyers procured during the Listing Period.

Dual Agency / Designated Agency

Broker may represent both Seller and Buyer in the transaction if permitted by law. Seller acknowledges and consents to the possibility of dual or designated agency under the following selection:

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state in which the Property is located. This document contains the entire agreement between the parties concerning the subject matter herein. Any amendment or modification must be in a written instrument signed by Seller and Broker.
