Borrower represents and warrants that: (a) Borrower has authority to execute and deliver the loan documents; (b) all information provided to Lender is true, complete and correct as of the date hereof; and (c) Borrower will promptly notify Lender of any material adverse change in Borrower’s financial condition or the property prior to funding.

Borrower covenants to execute loan documents in substantially the form required by Lender and to cooperate in obtaining all approvals, inspections, reports and endorsements required by Lender as conditions to funding.

7. Default, Cancellation & Remedies

If Borrower fails to satisfy any material condition of this commitment prior to the expiration date, or if Borrower breaches any representation or covenant herein, Lender may, in its sole discretion, terminate this commitment. Upon termination for Borrower’s breach, Lender shall be released from any obligation to fund and may pursue any remedies available at law or in equity.

8. Governing Law; Entire Agreement

This commitment and any loan documents executed pursuant to it shall be governed by and construed in accordance with the laws of the state in which the Property is located. This commitment constitutes the entire agreement between Lender and Borrower with respect to the subject matter hereof and supersedes all prior discussions and agreements, whether written or oral.

9. Acceptance

To accept this commitment, Borrower must sign and return a countersigned copy of this letter to Lender and satisfy all applicable conditions prior to the expiration date set forth above. Acceptance after the expiration date will be effective only if expressly agreed in writing by Lender.
