REAL ESTATE COMPANY AGREEMENT

Client represents and warrants that Client is the sole legal owner of the Property and has full authority to enter into this Agreement and to convey the Property. Client further certifies the following disclosures:

5. Duties and Authority of Company

Company shall use reasonable efforts to market the Property, procure qualified purchasers, coordinate showings, present offers to Client promptly, advise Client regarding negotiation of terms, prepare standard transaction documents, and cooperate with escrow and title companies to closing. Company is authorized to place marketing materials, show the Property to prospective buyers accompanied by Company, and list the Property on applicable marketing services consistent with Client authorization.

Company shall not, without Client's prior written consent, incur expenses on behalf of Client in excess of for repairs or improvements.

6. Client Duties

Client agrees to provide Company with accurate property information and access for inspections and showings, to disclose known defects, to maintain the Property in substantially the same condition as of execution, and to refer all inquiries regarding the sale of the Property to Company during the term of this Agreement.

7. Default; Remedies

If Client breaches this Agreement, Company shall be entitled to recover its actual damages, including the commission specified herein if breach prevents closing with a ready, willing and able purchaser procured by Company during the term. If Company materially breaches this Agreement, Client may terminate and seek damages for proven losses. Parties agree that any commission dispute related to a procuring cause will be submitted to the dispute resolution process set forth below.

8. Indemnification; Insurance

Client shall indemnify, defend and hold harmless Company, its brokers, agents and employees from and against any loss, liability or claim arising from Client's misrepresentation, breach of warranty, failure to disclose material facts, or from Client's acts or omissions. Company shall maintain general liability and errors & omissions insurance appropriate to its trade and shall provide proof of insurance upon written request.

10. Dispute Resolution; Governing Law

Parties will attempt in good faith to resolve disputes by negotiation. If unresolved within 30 days, disputes arising out of or relating to this Agreement shall be submitted to mediation, and if mediation fails, to binding arbitration before a single arbitrator. The arbitrator shall apply the substantive law of the State of Jurisdiction specified below. Judgment on the award may be entered in any court of competent jurisdiction.
