REAL ESTATE COMPENSATION ADDENDUM

This Real Estate Compensation Addendum (the Addendum) is entered into as an amendment to the existing Listing Agreement between the parties identified below and shall control to the extent of any inconsistency with the Listing Agreement. The parties agree as follows.

Payment Conditions and Earned Compensation

Compensation shall be earned and payable to Listing Broker upon Closing of the transaction, as defined in the underlying Listing Agreement, provided that a sale resulting in monetary consideration to Seller occurs through the efforts of the Listing Broker or a cooperating broker during the Term or within the Protection Period stated below. If payment is to be made by escrow, the escrow holder shall disburse commission in accordance with escrow instructions executed at Closing.

If the transaction fails to close due to Seller's breach, cancellation by Seller without good cause, or refund to Buyer of all or part of purchase price, Seller remains obligated to Listing Broker for compensation earned as of the date of Seller's breach or as otherwise specified herein.

Protection Period (days after expiration or termination of listing): days. During the Protection Period Listing Broker shall be entitled to compensation for transactions procured by Listing Broker or introduced to Seller during the Term and not closed until after Termination.

Special Provisions

Indemnity; Remedies

Seller agrees to indemnify, defend and hold harmless Listing Broker from and against any claims, liabilities, losses or expenses (including reasonable attorney fees) arising from Seller's breach of this Addendum or misrepresentations regarding material facts affecting compensation. Broker's remedies for nonpayment include, without limitation, the right to bring an action for breach of contract and to assert a charging lien where permitted by law.

Governing Law; Entire Agreement

This Addendum shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Addendum, together with the Listing Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements relating to such subject matter. Any amendment to this Addendum must be in writing and signed by both parties.

Acknowledgment

Each party represents and warrants that it has the authority to enter into this Addendum, that it has read and understands its terms, and that it executes this Addendum voluntarily and with the intent to be legally bound.
