By submitting this Compensation Request, Requesting Brokerage certifies and represents that: (a) Requesting Brokerage is a duly licensed real estate broker or agent in the jurisdiction(s) where services were performed; (b) the compensation requested is due and has not been paid in whole or in part; (c) Requesting Brokerage has authority to make this request and to receive payment on behalf of any cooperating agent identified herein; (d) all statements, attachments, and supporting documentation provided with this request are true, correct, and complete to the best of Requesting Brokerage's knowledge; and (e) Requesting Brokerage will indemnify and hold harmless the Payor from any claims by third parties arising from payment to the payee named in this request if such payment is made in good faith pursuant to the instructions herein.

Any dispute regarding entitlement to compensation shall be resolved in accordance with the dispute resolution provisions below unless the parties otherwise agree in writing.

Dispute Resolution; Governing Law

The parties agree that any dispute arising out of or related to this Compensation Request, including but not limited to entitlement to fees, calculation of compensation, and interpretation of agreements relied upon, shall be subject to binding arbitration if the parties cannot resolve the dispute within thirty (30) days of written notice. The substantive law of the state in which the property is located governs the interpretation of this request and any agreements referenced herein.

Default; Remedies; Indemnity

Failure by the Payor to respond within thirty (30) days of receipt of this request shall not constitute an admission of liability. Requesting Brokerage retains all remedies permitted by law, including enforcement of an award or judgment. Requesting Brokerage shall indemnify and hold Payor harmless from any claims, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from false or misleading statements or from payment to an incorrect payee where Requesting Brokerage provided inaccurate payment instructions.
