6. Seller Obligations

Seller shall: (a) provide Broker with accurate property information and required disclosures; (b) maintain the Property in substantially the same condition as when listed; (c) notify Broker of any material change affecting marketability; and (d) allow reasonable access for showings, inspections and appraisals subject to the showing instructions provided.

7. Broker Duties and Limitations

Broker agrees to use reasonable efforts to market the Property, coordinate showings, present offers to Seller promptly, and assist in negotiating the terms of sale. Broker does not guarantee any particular sale price or time to sale. Broker is authorized to engage cooperating brokers and to retain third-party vendors for marketing at Broker's discretion; costs for additional marketing services may be charged to Seller only with prior written consent.

8. Indemnification and Remedies

Seller agrees to indemnify and hold Broker harmless from any claims, liabilities, or expenses arising from Seller's breach of representations or failure to disclose material facts. If Seller unlawfully terminates the listing or otherwise breaches this Agreement after Broker procures a ready, willing and able buyer, Seller remains obligated to pay the agreed commission. Broker's remedies shall include recovery of commissions, costs, and reasonable attorney's fees.

9. Miscellaneous

Governing Law: This Agreement shall be governed by the laws of the state where the Property is located. Entire Agreement: This Listing Pack, together with any written addenda or disclosures signed by the parties, constitutes the entire agreement between Seller and Broker concerning the listing of the Property. No modification is effective unless in writing and signed by both parties.
