What the Real Estate Completion Addendum Is

A Real Estate Completion Addendum is a contract attachment used at or after a purchase closing to record final adjustments, confirm completion of agreed obligations, and allocate any remaining items between buyer and seller. It typically documents final purchase price changes, prorations for taxes and utilities, repairs completed or credits issued, and the effective completion date. The addendum becomes part of the sale agreement and is used by title companies, lenders, and escrow agents to close file records, update payoff instructions, and prepare recording documents where required by local practice.

Why a Completion Addendum Matters for Closings

A clear, signed addendum reduces post-closing disputes by documenting final figures, actions taken, and the parties’ mutual acceptance. It provides an auditable record for title, lender, tax reporting, and compliance purposes.

Why a Completion Addendum Matters for Closings

Who Typically Prepares and Signs This Addendum

The addendum is prepared by closing agents or the parties’ attorneys and signed by buyer and seller to confirm final terms.

  • Title and escrow officers who reconcile payoffs and prepare recording documents for county filing.
  • Buyers and sellers who must accept final prorations, repairs, or credits at closing.
  • Lenders and servicers that need updated payoff or mortgage satisfaction instructions after completion.

Keep a signed copy with closing files; distribution typically goes to title, lender, buyer, seller, and their counsel.

Core Elements of a Professional Completion Addendum

A professional addendum is concise, uses precise numeric entries, identifies the related contract, and includes execution blocks for all parties. It should be suitable for electronic signing and compatible with title company workflows.

Reference

Cite the original purchase agreement by date and page to link the addendum unambiguously to the principal contract, avoiding interpretation disputes.

Completion Date

Record the exact completion or closing date in MM/DD/YYYY format to fix obligations, possession, and tax proration cutoffs.

Financial Adjustments

List final purchase price adjustments, credits, and debit items with clear numeric amounts and a short calculation or footnote reference.

Prorations

Detail prorated items such as property taxes, HOA dues, utilities, and include per diem rates or reference to escrow worksheet totals.

Condition and Repairs

Confirm which repairs were completed, state their acceptance, or provide a credit amount where tasks remain outstanding.

Signatures and Acknowledgment

Provide signature blocks with printed names, titles where applicable, signature dates, and a witness or notary section if required by local practice.

Step-by-Step: Completing the Addendum

Follow these steps in order to finalize the addendum and integrate it into closing workflows.

  • 01
Prepare draft: Populate reference, property, and parties fields from the purchase contract.
  • 02
Enter adjustments: Add credits, debits, and prorations with supporting totals.
  • 03
Review with escrow: Have title/escrow confirm payoff and recording needs.
  • 04
Execute and distribute: Collect signatures, save copies, and deliver to all stakeholders.

Configuring an Online Completion Addendum Workflow

Set up fields, signer order, and authentication to match your closing process so the signed addendum integrates with escrow and title systems.

Field Placement and Validation Use numeric validation for amounts and date pickers for dates to reduce entry errors.
Routing Order Define signer sequence: seller → buyer → lender → title/escrow to preserve required approvals.
Authentication Level Choose email link, SMS code, or identity verification depending on transaction risk.
Notifications and Reminders Enable automatic reminders and completion notices to parties and closing agents.
Export Formats Save final documents as PDF/A and retain an audit trail for compliance.

Technical Requirements for Digital Execution

Ensure your platform supports secure e-signing, audit trails, and export to PDF for title and lender workflows.

  • File Formats: PDF, DOCX, or flattened PDF/A for recording.
  • Integrations: Connectors to title or CRM systems like Salesforce or NetSuite.
  • Authentication: Email link, SMS code, or advanced signer ID methods.

Use a compliant eSignature platform that preserves audit trails, supports export formats used by title companies, and offers integration into escrow and lender systems to minimize manual rekeying and maintain chain-of-custody for signed records.

Where to Send the Completed Addendum

After execution, route the signed addendum to parties who must update closing records or perform recording, payoff, or disbursement actions.

  • Title Company: Retain for closing file and recording coordination.
  • Escrow Agent: Use to reconcile final disbursements and payoffs.
  • Lender / Servicer: Provide updated payoff figures and loan instructions.
  • Buyer and Seller: Deliver final signed copy for personal records.

Key Timeframes and Deadlines to Track

Timely handling avoids recording delays, payment disputes, and downstream reporting issues; local rules affect specific deadlines.

Execution at Closing:

Execute on or immediately after the closing date to reflect accurate completion figures.

Recording Window:

Record deeds and required documents promptly; county recording timelines and fees vary by jurisdiction.

Payoff and Disbursement:

Escrow must process payoffs and disburse funds per settlement statement timing.

Tax Proration Cutoff:

Use the closing/completion date as the proration cutoff for property taxes.

Retention of Signed Copy:

Keep copies in closing file for the full retention period required by law and company policy.

Milestones From Agreement to Final Recording

Track these sequential milestones to ensure the addendum leads to a clean title transfer and accurate disbursement.

01

Finalize Addendum

Draft and verify all numeric entries, dates, and references.

02

Obtain Signatures

Collect executed signatures from all required parties.

03

Deliver to Escrow

Provide final signed copy to escrow and title for reconciliation.

04

Record and Close File

Record any instrument required and close the transaction file.

Common Mistakes to Avoid When Preparing the Addendum

  • Entering mismatched party names that differ from title documents, which can delay recording and require corrective instruments.
  • Failing to show detailed calculations for prorations and credits, leaving room for post-closing disputes about amounts.
  • Omitting the original contract reference or date so parties cannot confirm whether the addendum modifies the intended agreement.
  • Using vague language for repairs or credits instead of quantifying amounts or deadlines for completion, creating enforcement ambiguity.

Risks and Legal Consequences of Errors

Recording Delay: Clouds on title and delay transfer of ownership.
Title Defect Exposure: Unresolved liens may surface after closing.
Escrow Disputes: Funds may be withheld pending resolution.
Tax Reporting Penalties: Incorrect payee information can trigger IRC §6721 penalties.
Contractual Breach: Failure to perform as documented may lead to damages.
Notary Noncompliance: Improper notarization may require re-execution or court action.
