What the Real Estate Condition of Sale Is

Real Estate Condition of Sale is a contractual document that records the precise terms governing a property transfer. It specifies the purchase price, deposit, payment and financing terms, contingencies, inspections, required repairs, proration rules, closing date, possession timing, and any seller representations or statutory disclosures. By setting conditions precedent to closing, the form allocates risk, guides escrow and title review, and provides the record used by lenders and county recorders to complete underwriting and recording processes.

Why a Clear Condition of Sale Matters

A well-drafted Real Estate Condition of Sale minimizes ambiguity about obligations and deadlines, reduces title exceptions, and aligns buyer, seller, lender, and escrow expectations to help ensure a smoother closing process.

Why a Clear Condition of Sale Matters

Who Typically Prepares and Signs This Document

Completed by the contracting parties and their representatives during negotiation and prior to closing.

  • Real estate agents: prepare terms, coordinate disclosures, and deliver documents to escrow and title.
  • Buyers and sellers: confirm factual details, agree contingencies, and provide signatures to bind obligations.
  • Lenders and title companies: review conditions for underwriting, title clearance, and recording requirements.

Title officers and escrow agents rely on the form to confirm conditions are met and to prepare recording instruments.

Core Sections to Include in the Condition of Sale

A professional Real Estate Condition of Sale includes discrete sections for parties, property identification, price and payment terms, contingencies, closing mechanics, and required disclosures or seller representations.

Price & Terms

State purchase price, deposit amount, payment schedule, escrow instructions, and any seller financing terms; specify allocation of prorations, closing costs, and who pays recording fees.

Common Deadlines to Track in the Condition of Sale

Contingencies and deadlines are time-critical; document them clearly and trigger automated reminders to avoid unintended termination or breach.

Offer Acceptance Deadline:

Buyer's acceptance deadline per contract; often 48–72 hours.

Inspection Period Deadline:

Inspect within agreed days; identify remedies before expiration.

Financing Contingency Deadline:

Lender approval by date or buyer may terminate.

Closing Date and Possession:

Exact date for transfer and occupancy; prorations calculated.

Recording and Title Clearance:

Submit deed for recording promptly to protect buyer's interest.

Penalties and Risks of Incorrect or Incomplete Forms

Recording Delay: May permit competing claims
Title Defect: Requires cure or title insurance exception
Contract Rescission: Buyer may terminate contract
Tax Liability: Seller or buyer tax exposure
Broker Dispute: Commission claims if terms ambiguous
Penalty Interest: Late payment interest accrues

Common Mistakes to Avoid

  • Using inconsistent property descriptions between the sale condition and deed leads to recording rejections and title disputes, slowing closing and increasing legal costs.
  • Failing to set precise contingency deadlines or to document cure procedures can automatically terminate the agreement or trigger litigation over performance obligations.
  • Mismatched party names or unsigned addenda are frequent causes of lender delays and insurance exceptions that require corrective documents before funding.
  • Neglecting state-specific disclosure forms or notarization requirements causes rescission rights, penalty exposures, and delays in recording ownership transfer.

Who Can Sign and Their Roles

Escrow Officer

An escrow officer coordinates receipt of signed documents, verifies deposit and disbursement instructions, communicates with title and lender, and ensures conditions listed in the sale are satisfied prior to funding and recording. They reconcile closing deliverables and confirm funds flow.

Closing Attorney

A closing attorney reviews contract language, confirms legal capacity of parties, prepares deed and settlement statements, advises on statutory disclosures, and may handle recording. Their review mitigates legal risk and confirms that the condition of sale aligns with state recording requirements.
