REAL ESTATE CONFIDENTIAL AGREEMENT

This Real Estate Confidential Agreement (the Agreement) is entered into effective as of by and between the Disclosing Party and the Receiving Party identified below. The parties agree that certain non-public information relating to the property described herein and the potential transaction shall be disclosed subject to the terms and conditions set forth in this Agreement.

PROPERTY IDENTIFICATION

PURPOSE AND RELATED TRANSACTION TERMS

The Receiving Party will receive Confidential Information for the sole purpose of evaluating a potential purchase, lease, financing, partnership, joint venture, or other transaction (the Purpose). Describe the Purpose:

DEFINITIONS

"Confidential Information" means all non-public information, whether written, electronic or oral, disclosed by the Disclosing Party relating to the Property or the Proposed Transaction, including financial data, leases, rent rolls, engineering, environmental and structural reports, vendor contracts, tenant information, business operations, pricing, trade secrets and other proprietary information.

Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) is rightfully received from a third party without breach of any obligation of confidentiality; (c) is already known to the Receiving Party at the time of disclosure as shown by written records; or (d) is independently developed by the Receiving Party without use of Confidential Information.

OBLIGATIONS OF RECEIVING PARTY

The Receiving Party shall: (i) hold Confidential Information in strict confidence and take all commercially reasonable measures to protect it from unauthorized disclosure; (ii) use Confidential Information solely for the Purpose; (iii) limit disclosure to employees, agents, advisors or lenders who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (iv) not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party.

The Receiving Party shall not reverse engineer, decompile or disassemble any Confidential Information or use the Confidential Information to solicit sellers, tenants, brokers or employees contrary to the Disclosing Party's interests for the duration set forth below.

COMPULSORY DISCLOSURE

If the Receiving Party is compelled by law, regulation or order of a court or governmental authority to disclose Confidential Information, the Receiving Party shall, to the extent legally permitted, provide prompt written notice to the Disclosing Party and reasonably cooperate with the Disclosing Party in seeking a protective order or other appropriate remedy. The Receiving Party shall only disclose that portion of Confidential Information that is legally required and shall use commercially reasonable efforts to obtain confidential treatment.

RETURN OR DESTRUCTION

Upon the written request of the Disclosing Party or upon termination of this Agreement, the Receiving Party shall, at the Disclosing Party's election, promptly return or destroy all documents and media containing Confidential Information and certify in writing that such materials have been returned or destroyed, except that the Receiving Party may retain one archival copy for legal, compliance or audit purposes subject to the confidentiality obligations herein.

TERM AND SURVIVAL

Confidentiality period (years):

Notwithstanding termination or expiration of this Agreement, the obligations with respect to Confidential Information shall survive for the period specified above and as to trade secrets for so long as such information remains a trade secret under applicable law.

REMEDIES; LIMITATIONS

The Receiving Party acknowledges that monetary damages alone would be inadequate to remedy any breach and that the Disclosing Party shall be entitled to seek injunctive relief and specific performance, in addition to all other remedies available at law or in equity. Nothing in this Agreement shall limit either party's defenses or remedies for claims arising out of fraud, willful misconduct, or gross negligence.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has authority to enter into this Agreement and to disclose and receive Confidential Information as contemplated. The Disclosing Party makes no warranty as to the accuracy or completeness of Confidential Information and shall have no liability for the Receiving Party's use of such information except for intentional misrepresentation.

DISCLOSURES REGARDING PROPERTY CONDITION

The Disclosing Party represents to the best of its knowledge as of the Effective Date the following statements regarding the Property. The Receiving Party acknowledges that these statements are provided for informational purposes only and do not substitute for independent investigation.

NOTICES

All notices required under this Agreement shall be in writing and delivered to the addresses set forth above for each party, by personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. This Agreement may be amended only by a written instrument executed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of its assets or business to which this Agreement relates. If any provision is held invalid, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by and construed in accordance with the laws of the state applicable to the Property's location, without regard to conflict of law principles.
