REAL ESTATE CONFIRMATION OF COOPERATION

This Confirmation of Cooperation ("Agreement") is entered into effective as of between the parties identified below for the purpose of memorializing cooperation, compensation and duties related to the sale or lease of the Property identified herein.

Listing Broker offers to cooperate and to pay compensation to Cooperating Broker in the amount described below, subject to the terms of this Agreement and the successful closing or execution of a binding contract for the Property.

MLS, MARKETING & AUTHORIZATION

Listing Broker authorizes Cooperating Broker to show the Property and to present offers. Listing Broker authorizes distribution of listing data and cooperative compensation information to cooperating brokers and to multiple listing services for the purpose of procuring a purchaser or tenant under the following terms.

AGENCY, REPRESENTATIONS & DUTIES

Each Broker represents and warrants that it is duly licensed and has full authority to enter into this Agreement. Each Broker represents which party they represent in the transaction: Listing Broker represents Seller; Cooperating Broker represents Buyer or as otherwise indicated. Each Broker shall disclose any material conflicts of interest and shall comply with applicable duties under applicable law.

DEFAULT, REMEDIES & INDEMNITY

If Cooperating Broker procures a ready, willing and able buyer or tenant who completes a binding purchase or lease agreement for the Property in accordance with the terms of the listing, Cooperating Broker will be entitled to the compensation described above, subject to the terms of this Agreement. If payment of compensation is disputed, the parties agree that compensation shall be determined by the terms of this Agreement and applicable law. Each party shall indemnify, defend and hold the other harmless from claims, costs and damages arising from the indemnitee's negligent acts or breaches of this Agreement, except to the extent caused by the indemnitee's own negligence or willful misconduct.

TERM, TERMINATION & GOVERNING LAW

This Agreement shall commence on the Effective Date and shall terminate upon the earlier of (i) closing of the transaction for the Property, (ii) mutual written agreement of the parties, or (iii) thirty (30) days after written notice by either party, except that obligations concerning compensation for transactions procured prior to termination shall survive. This Agreement shall be governed by and construed in accordance with the laws of the state identified below.

ENTIRE AGREEMENT & AUTHORITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, agreements and understandings. Each individual signing below represents and warrants that they have full authority to execute this Agreement on behalf of the party for whom they sign.

Notices under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section above, and are effective upon receipt. Any dispute arising under this Agreement shall be resolved in the courts of the Governing State identified above unless the parties agree otherwise in writing.
