REPRESENTATIONS, INDEMNITY AND REMEDIES

Each party represents and warrants that it has full authority to enter into this Consent and that the individual executing this Consent on its behalf is authorized to do so. Recipient shall indemnify, defend and hold Owner harmless from all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from Recipient's exercise of any consent granted hereunder, except to the extent caused by Owner's gross negligence or willful misconduct.

In the event of a default under this Consent, the non-defaulting party shall have all remedies available at law or in equity, including specific performance. The parties agree that monetary damages may be inadequate to protect Owner's interests in the Property and that injunctive relief may be appropriate.

MISCELLANEOUS

This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. No amendment shall be effective unless in writing and signed by both parties. If any provision of this Consent is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

This Consent shall be governed by and construed in accordance with the laws of the state in which the Property is located.
