What a Real Estate Contract Agreement Covers

A Real Estate Contract Agreement is a written contract that records the terms for the sale, purchase, lease, or transfer of real property between two or more parties. It sets price, deposit, contingencies, closing date, title and easement matters, inspection and financing conditions, and remedies for breach. The agreement creates enforceable obligations once executed by the required parties, and it often serves as the primary document for escrow, title search, and closing processes handled by brokers, attorneys, and settlement agents.

Why this Agreement Matters for Transactions

A clear Real Estate Contract Agreement reduces ambiguity about price, transfer timing, and contingencies, protecting buyer and seller expectations while enabling lenders, title companies, and escrow agents to proceed with closing steps efficiently.

Why this Agreement Matters for Transactions

Who typically completes a Real Estate Contract Agreement

Typical participants who prepare, review, or sign these agreements include real estate agents, buyers, sellers, attorneys, lenders, and title or escrow officers.

  • Buyers and sellers managing purchase terms, contingencies, financing, and closing obligations.
  • Real estate brokers or agents preparing standard form contracts and disclosures for clients.
  • Title companies, lenders, and closing agents verifying title, recording requirements, and escrow instructions.

Each participant has specific responsibilities: brokers prepare forms, attorneys advise on unusual terms, and title/escrow coordinate recording and funds transfer for closing.

Core sections to include in a professional agreement

A complete Real Estate Contract Agreement organizes obligations into clear sections to reduce disputes and support closing workflows handled by escrow and title professionals.

Parties

Identify buyer(s), seller(s), and any guarantors with full legal names and entity type so the contract binds the correct legal parties.

Property Description

Provide a precise legal description, street address, parcel number, and included fixtures; vague descriptions can create title problems at closing.

Price & Financing

State the purchase price, deposit amount, financing contingency details, and deadlines for mortgage commitment and appraisal contingencies.

Contingencies

List inspection, title, loan, and sale-of-home contingencies with deadlines and remedies to permit orderly termination or cure.

Closing Terms

Specify closing date, prorations, allocation of closing costs, escrow instructions, and required deliverables at settlement.

Default & Remedies

Describe breach consequences, forfeiture of deposits, specific performance rights, attorney fee provisions, and dispute resolution methods.

Essential data elements to include

Buyer Name: Full legal name(s)
Seller Name: Full legal name(s)
Property Address: Street, city, state, ZIP
Legal Description: Parcel or deed description
Purchase Price: Numeric and written amount
Effective Date: Execution date of agreement

Step-by-step: completing a Real Estate Contract Agreement

Follow these steps in order to prepare, review, and execute a contract ready for escrow and recording.

  • 01
Draft Core Terms: Enter parties, property, price, and deposit terms.
  • 02
Set Contingencies: Add inspection, financing, and title conditions with deadlines.
  • 03
Review with Counsel: Have attorneys or brokers confirm legal and closing impacts.
  • 04
Execute and Deliver: Obtain all signatures and send final copy to escrow/title.

Configure an online signing workflow for the agreement

Typical digital workflows automate routing, authentication, and delivery to speed execution while preserving an audit trail.

Field Configuration
Signing Order Sequential or parallel routing
Authentication Email link, SMS code, or KBA
Attachments Include title report, disclosures, and exhibits
Audit Trail Enable IP, timestamp, and action logs

Where to send the signed agreement after execution

After signing, route the executed contract to parties who require copies and to settlement agents to begin closing preparations.

  • Buyer and Seller: Each party receives a final signed copy for records.
  • Listing/Buyer Broker: Brokerage files a copy for transaction management.
  • Title/Escrow Company: Send full executed package for title work and closing.
  • Lender: Provide the agreement if financing is involved.

Technical considerations for digital signing and storage

Choose a platform that supports secure e-signatures, audit trails, and the file formats used by title and escrow.

  • File Formats: PDF and DOCX are commonly accepted
  • Integrations: Connect to Google Drive, Box, or title systems
  • Authentication: Email, SMS, or stronger methods available

Ensure the provider meets required compliance standards (e.g., ESIGN, UETA) and can export a tamper-evident signed PDF and full audit record for closing files.

Common deadlines to include and monitor

Insert explicit dates or defined counts for each critical contingency and closing obligation to avoid disputes and missed cure periods.

Earnest Money Deadline:

Date when deposit must be delivered to escrow

Inspection Period:

Last date to complete inspections and request repairs

Financing Contingency:

Deadline to secure mortgage commitment

Title Objection Period:

Time to raise title exceptions before closing

Closing Date:

Date scheduled for deed transfer and funding

Notarization and witness steps for execution

Some jurisdictions or document types require notarization or witness signatures; follow the sequence below when authentication is necessary.

01

Determine Requirement

Confirm whether the agreement or attached instruments require a notary or witnesses

02

Schedule Notary

Book in-person or remote online notarization if permitted

03

Arrange Witnesses

Have required independent witnesses present for signing

04

Complete Acknowledgement

Notary completes acknowledgment or jurat with seal

05

Record Audio/Video

For RON, ensure required A/V recording and retention

06

Attach Notary Pages

Include notary acknowledgement with executed contract copy

07

Deliver to Escrow

Send notarized and witnessed documents to title/escrow promptly

08

Retain Proof

Keep notary journal entries and RON session records

Common mistakes to avoid when preparing the agreement

  • Using only a postal address instead of the full legal description, which can complicate title search and recording.
  • Leaving contingency deadlines vague (for example, 'within a reasonable time') instead of specifying MM/DD/YYYY or a fixed business-day count.
  • Mismatched party names between contract and title documents, often causing escrow delays and corrective filings.
  • Failing to attach required disclosures and exhibits, which can invalidate condition-based provisions or delay closing.

Consequences of an incomplete or incorrect agreement

Contract Voidability: May be voidable
Title Issues: Recording delays or exceptions
Financial Loss: Escrow forfeiture risk
Legal Disputes: Increased litigation chance
Regulatory Risk: Violations for improper disclosures
Closing Delays: Postponed funding or transfer
