5. DEFAULT, REMEDIES AND TERMINATION

If Buyer fails to timely close in breach of this Agreement, Seller may elect to retain the Earnest Money Deposit as liquidated damages or pursue specific performance, injunctive relief, or other remedies permitted by law. If Seller fails to convey title or otherwise breaches this Agreement, Buyer may elect to terminate and receive return of Earnest Money, pursue specific performance, or seek damages. Remedies are cumulative and subject to applicable law; the election of one remedy shall not preclude pursuit of others unless expressly waived in writing.

6. PRORATIONS, POSSESSION, AND RISK OF LOSS

Taxes, assessments, rents, utilities, and other customary prorations shall be prorated through the Closing Date. Possession shall be delivered to Buyer on the Possession Date, subject to tenant rights or other agreed occupancy arrangements. Risk of loss remains with Seller until Closing; if substantial damage occurs prior to Closing, Buyer may elect to terminate, accept repairs, or proceed to Close with an equitable credit.

7. INSURANCE, REPRESENTATIONS, AND WARRANTIES

Seller represents that, to Seller's actual knowledge, there are no unreported material defects affecting the Property other than those disclosed herein. Buyer is responsible for obtaining hazard, liability, and title insurance at Buyer's expense effective as of Closing. Seller shall maintain insurance through Closing.

8. MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of .

Entire Agreement: This Agreement, together with all exhibits, addenda, and written disclosures incorporated by reference, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. No oral modifications are binding. Any amendment must be in writing and signed by both parties.
