REPRESENTATIONS, WARRANTIES AND COVENANTS

Each party represents and warrants that it has full authority to enter into this Variation, that the signatory executing this Variation on its behalf is duly authorized, and that this Variation does not violate any agreement to which the party is bound. All representations and warranties in the Original Contract survive this Variation unless expressly waived in writing.

DEFAULT AND REMEDIES

Except as expressly modified by this Variation, the default, notice and cure provisions, and remedies set forth in the Original Contract continue to apply. No Waiver: No delay or failure to exercise any right under this Variation will operate as a waiver. No waiver will be effective unless in writing and signed by the party granting the waiver.
