Real Estate Development Agreement (DA)

This Real Estate Development Agreement (the Agreement) is entered into as of (Effective Date) by and between Owner: , with mailing address ; and Developer: , with mailing address .

Recitals and Purpose

Owner is the fee simple owner of the real property described below and desires to engage Developer to obtain approvals and undertake development activities in accordance with the terms set forth herein. The term of this Agreement commences on the Effective Date and continues until the earlier of final acceptance of the Project by the applicable authority or termination pursuant to Section Default and Remedies. The parties agree to the following milestone schedule:

Development Obligations

Developer shall be responsible for preparing and filing all applications, studies, and plans necessary to obtain Entitlements, coordinating required public outreach, securing construction financing, and managing construction in accordance with approved plans and applicable codes. Owner shall cooperate in good faith, provide access to the Property, and execute documents reasonably required to obtain Entitlements.

The parties agree the financial responsibilities for the Project are as follows:

Financing and Contingencies

Developer's obligations are conditioned upon Developer obtaining construction financing on commercially reasonable terms within days of Effective Date. If financing is not obtained within that period, either party may terminate this Agreement in accordance with Section Default and Remedies.

Insurances; Indemnity

Developer shall maintain commercial general liability insurance, workers' compensation, and builders' risk insurance with coverages and limits customary for projects of similar scope. Developer shall indemnify and hold Owner harmless from claims arising from Developer's negligence or willful misconduct in performing the Development Services, except to the extent such claims result from Owner's negligence or breach.

Default and Remedies

A material breach by either party that remains uncured for thirty (30) days after written notice shall constitute a default. In the event of default, the non-breaching party may pursue specific performance, termination, recovery of damages, and any other remedies available at law or in equity. Recovery of costs, including reasonable attorneys' fees, shall be available to the prevailing party where permitted by law.

Notices

Notices under this Agreement shall be in writing and delivered by personal delivery, certified mail (return receipt requested), or nationally recognized overnight carrier to the addresses set forth below or such other address as a party provides by written notice.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and delivery hereof has been duly authorized, and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms. Owner further represents that there are no undisclosed liens or encumbrances that would materially impair Developer's ability to perform the Project.

Governing Law; Entire Agreement; Amendment

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. This Agreement may be amended only by written instrument executed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original and together shall constitute one instrument.

Acknowledgment

Each signatory represents and warrants that he or she is authorized to execute this Agreement on behalf of the party for which they sign and that the signatory's signature constitutes the party's legal and binding obligation.
