Provider hereby grants Recipient a non-exclusive, non-transferable right to access and use Provider's real estate data described in this Agreement solely for the Permitted Use set forth below and subject to the restrictions and obligations herein. Recipient shall not use the data for any other purpose without Provider's prior written consent.

Fees and Payment

Recipient shall pay Provider the fees set forth below in consideration for access to the Data. All fees are non-refundable except as expressly provided in this Agreement.

Data Security, Privacy and Handling

Recipient shall implement and maintain administrative, technical and physical safeguards to protect the Data from unauthorized access, disclosure, alteration, or destruction. Recipient shall comply with all applicable privacy and data protection laws with respect to any personal information included in the Data.

Recipient shall not sell, license, sublicense, redistribute or publish the Data except as expressly permitted herein. Recipient shall treat all Data as confidential to the extent identified as confidential by Provider or to the extent the Data is reasonably understood to be confidential.

Audit, Compliance and Inspections

Provider may audit Recipient's compliance with this Agreement upon reasonable prior notice and during regular business hours. Recipient shall cooperate and provide reasonable access to systems and records for such audits.

Term, Termination and Data Return

This Agreement begins on the Access Start Date and continues until the Access End Date unless earlier terminated as set forth herein. Upon termination, Recipient shall promptly cease use of the Data and shall return or securely destroy all copies in accordance with Provider's written instructions.

Representations, Indemnity and Limitation of Liability

Each party represents that it has authority to enter into this Agreement. Recipient shall indemnify, defend and hold harmless Provider from any claims arising from Recipient's breach of this Agreement, misuse of the Data, or violation of applicable laws. Except for willful misconduct or gross negligence, neither party's liability shall exceed the fees paid by Recipient under this Agreement in the twelve months preceding the claim.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state specified below without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements.

Certification

Recipient certifies that it will use the Data only for the Permitted Use, will maintain required security measures, and will not knowingly provide the Data to any person or entity that will use it in violation of this Agreement. Recipient further certifies that it will comply with applicable law and will notify Provider promptly of any security incident affecting the Data.
