Seller represents and warrants, to Seller's actual knowledge, that the information in this Deck Disclosure and Addendum is true and correct as of the date of Seller's signature. Seller shall disclose any material structural defects of which Seller has actual knowledge. Buyer acknowledges receipt of the disclosures and may elect to require repairs, credits, or termination as provided herein within the agreed inspection period.

Default, Remedies and Release

If Seller fails to complete agreed repairs by the Repair Deadline, Buyer may elect, at Buyer's sole option: (a) to accept a credit in the agreed amount at closing; (b) to require completion of repairs post-closing with an escrow holdback equal to the agreed amount; or (c) to terminate the purchase agreement and receive return of any deposit, provided such option is exercised within the inspection or cure period. Seller shall indemnify and hold Buyer harmless for claims arising from Seller's failure to disclose known material defects in the deck.

Governing Law; Entire Agreement

This Deck Disclosure and Addendum is governed by the laws of the state identified below and is incorporated into and made a part of the purchase agreement for the Property to the extent executed by the parties. This document, together with the purchase agreement and any other written addenda specifically incorporated herein, constitutes the entire agreement between the parties with respect to the deck and supersedes all prior representations, negotiations and agreements, whether oral or written.
