REAL ESTATE DEMO AGREEMENT

This Real Estate Demo Agreement (the Agreement) is entered into by and between Owner: and Contractor: . Owner and Contractor are collectively referred to as the Parties.

Contractor shall perform demolition, removal, and lawful disposal (the Work) of structures and improvements located on the Property in accordance with the scope and specifications set forth below. Permits, Compliance and Site Conditions

Contractor shall secure all required demolition permits and comply with all applicable codes, ordinances, and permit conditions. Contractor shall be solely responsible for ordering and paying for permits unless otherwise stated in this Agreement.

Hazardous Materials and Environmental

Contractor shall promptly notify Owner in writing if Hazardous Materials are discovered. Contractor shall not perform work involving known Hazardous Materials unless Contractor has inspected, tested, and agreed in writing to perform that work under separate terms addressing handling, removal, cost, and liability.

Payment Terms

Owner agrees to pay Contractor the Contract Price per the schedule below. All sums are payable in lawful currency and subject to the terms below.

Debris, Recycling, and Salvage

Contractor shall remove debris and lawfully dispose of materials. Salvageable materials shall be handled per the Parties' written directions. Cost for hauling and disposal are included in the Contract Price unless separately listed in the payment schedule.

Insurance, Indemnity, and Liability

Contractor shall maintain commercial general liability insurance, automobile liability, and workers' compensation as required by applicable law. Contractor shall name Owner as an additional insured on the general liability policy for the duration of the Work where permitted. Contractor agrees to indemnify, defend and hold harmless Owner from claims arising out of Contractor's performance except to the extent caused by Owner's negligence or willful misconduct.

Warranties and Representations

Contractor warrants that the Work will be performed in a good and workmanlike manner consistent with industry standards. Contractor represents it is licensed and qualified to perform the Work and will comply with all laws. Owner represents it has authority to permit demolition and that no third-party easements or rights will unreasonably interfere with performance.

Default, Remedies and Termination

A Party will be in default if it materially breaches any obligation under this Agreement and fails to cure within seven (7) days after written notice (or such longer period if reasonably necessary). Remedies include specific performance, damages, and termination. Owner may withhold payment for nonconforming Work. Liquidated damages, if any, shall be as set forth in the payment schedule.

Dispute Resolution and Governing Law

The Parties shall attempt to resolve disputes in good faith. If unresolved, disputes shall be resolved by binding arbitration conducted in accordance with the arbitration rules selected by the Parties. This Agreement is governed by the laws of the state of without regard to conflict of laws principles.
