Representations, Release and Indemnity

Each party represents and warrants that it has full authority and capacity to enter into this Deposit Disposition and that the instructions set forth herein resolve all claims between Buyer and Seller relating to the deposit described above. Upon distribution in accordance with this instrument, each party releases Escrow Holder from any further liability with respect to the deposited funds, except for willful misconduct or gross negligence. Escrow Holder may rely on a fully executed copy of this instrument and is authorized to record, pay, transfer or retain funds as specified. The parties jointly and severally agree to indemnify and hold Escrow Holder harmless from all loss, claims, damages, costs and expenses (including reasonable attorneys' fees) incurred in good faith compliance with these instructions.

If the parties have selected Mutual Release, the mutual release below must be completed and signed by both parties. If an alternative disposition is selected, the parties warrant that the selection complies with the purchase agreement, applicable law, and any escrow instructions previously executed.

Governing Law; Entire Agreement

This Deposit Disposition shall be governed by the substantive laws of the state in which the Property is located, without regard to conflicts of law principles. This instrument constitutes the entire agreement among the parties with respect to the subject matter herein and supersedes all prior negotiations and understandings concerning distribution of the deposit. No amendment is effective unless in writing signed by all parties and, where required, Escrow Holder.
