This Real Estate Deposit Document (the "Deposit Document") establishes the terms under which a deposit is delivered and held in escrow in connection with the potential conveyance of real property identified below. Application, Release and Forfeiture of Deposit

Application of Deposit: Unless otherwise agreed in writing by the parties, the deposit shall be credited toward the purchase price at Closing. If Closing occurs, Escrow Agent shall apply the deposit to Buyer’s obligations as directed in the closing statement.

Release on Seller Default: If Seller materially breaches the underlying purchase agreement and Buyer is entitled to terminate, the deposit shall be returned to Buyer within five (5) business days of Escrow Agent's receipt of documentation reasonably evidencing Seller's default, and Buyer reserves all legal remedies.

Forfeiture on Buyer Default: If Buyer fails to perform under the underlying purchase agreement and Seller properly provides notice and right to cure as required by the underlying agreement, Buyer may forfeit the deposit as liquidated damages to Seller, subject to any applicable law limiting forfeiture. Escrow Agent shall disburse forfeited funds only upon joint written instructions of the parties or final judicial order.

Conditional Releases: In the event of dispute, Escrow Agent may retain the deposit pending written joint instructions, final court order, or other resolution acceptable to Escrow Agent. Escrow Agent shall not be liable for any interest or investment loss except in the event of gross negligence or willful misconduct.

Default, Remedies and Limitations

Remedies: The parties acknowledge that the rights and remedies set forth in the underlying purchase agreement and this Deposit Document are cumulative and in addition to any remedies available at law or in equity. The party claiming breach shall provide written notice and a reasonable period to cure as required under the underlying agreement before seeking disbursement of deposit except where a cure period is not required by law.

Limitation of Escrow Agent Liability: Escrow Agent's liability for improper disbursement is limited to actual proven damages and does not include punitive damages, except for willful misconduct or gross negligence. Escrow Agent may rely on written instructions, court order, or legal process and may interplead deposited funds when it reasonably deems necessary.
