This Real Estate Design Addendum (the Addendum) is made effective as of by and between Buyer Name: and Seller Name: .

Property Identification

Recitals and Scope

A. Seller and Buyer have executed a Purchase Agreement or Contract for the sale of the Property (the Contract). This Addendum modifies the Contract with respect to design, finishes, selections and related obligations as set forth below. In the event of any conflict between this Addendum and the Contract, this Addendum shall control with respect to the subject matter herein.

Plans, Exhibits and Approvals

Plans and specifications incorporated into this Addendum are listed below and, when signed by Buyer and Seller, constitute the approved design. Any material deviation from approved plans shall require written change order executed by Buyer and Seller and, where applicable, the design professional.

Design Allowances, Selections and Schedule

Buyer and Seller agree to the following design allowances and selection deadlines. Buyer shall make selections in accordance with the schedule below. Failure to timely select items shall permit Seller to select standard items at Seller's reasonable discretion and charge Buyer for cost differentials as provided below.

Change Orders and Cost Overruns

All modifications to approved plans that affect cost, scope or schedule shall be documented by a written Change Order. Change Orders shall include itemized cost, charge to Buyer or Seller, and impact on schedule. No Change Order shall be effective without the written consent of the party responsible for payment.

Schedule, Possession and Closing

Payments, Escrow, Allowance Reconciliation

Allowance reconciliation will occur upon completion of work items or at closing as specified below. Amounts due beyond allowances shall be paid according to the payment and escrow provisions of the Contract or by the party designated in a Change Order.

Inspections, Warranties and Insurance

Liens, Releases and Title

Seller and Buyer shall cooperate to ensure that all mechanics' liens, stop notices and similar encumbrances arising from work performed under the approved plans are waived and released prior to closing or as otherwise provided in the Contract. Any withholding for lien protection shall be consistent with the Contract.

Default, Remedies and Indemnity

A material failure by either party to perform its obligations under this Addendum shall constitute a default under the Contract and entitle the non-defaulting party to pursue all remedies available at law or in equity, including specific performance, damages, and recovery of reasonable attorneys' fees if provided by the Contract or applicable law. Each party indemnifies the other for claims arising from its breach of this Addendum or negligent acts in performance of design or construction obligations.

Governing Law; Entire Agreement

This Addendum shall be governed by and construed in accordance with the laws of the State of . This Addendum, together with the Contract and referenced exhibits, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes prior negotiations and agreements on such subject matter.

Miscellaneous Provisions

Notices under this Addendum shall be given in accordance with the notice provisions in the Contract. Time is of the essence for Buyer selections and for the performance deadlines established in this Addendum. No waiver of any provision shall be effective unless in writing signed by the party against whom enforcement is sought.
