Late Payment Interest: Any overdue payment shall accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.

Permits, Codes and Compliance

Designer shall prepare documents reasonably necessary for permit approval. Client is responsible for permit fees unless otherwise agreed in writing. Designer shall comply with applicable building codes and regulations; however, Designer is not responsible for third-party inspections or governmental delays.

Insurance, Indemnity and Liability

Designer shall maintain professional liability insurance and general liability insurance in commercially reasonable amounts. Client shall indemnify and hold Designer harmless from claims arising out of Client-provided information, site conditions, or construction means and methods. Limitation of Liability: Designer’s liability to Client for any claim shall be limited to direct damages not to exceed the total fees paid to Designer under this Agreement.

Termination and Default

Either party may terminate this Agreement for material breach if the breaching party fails to cure within 14 days after written notice. Remedies are cumulative and do not preclude the recovery of attorneys' fees where permitted by law.

Dispute Resolution and Governing Law

Claims arising from this Agreement shall be resolved by good faith negotiation and, if unresolved, by mediation. If mediation fails, disputes shall be submitted to binding arbitration under the rules agreed upon by the parties. Governing Law:
