Change Orders

Insurance, Indemnity, and Liability

All insurance and indemnity obligations in the Original Agreement shall remain in full force and effect except as expressly modified herein. Designer shall maintain professional liability insurance in the minimum amount of .

Each party agrees to indemnify, defend and hold harmless the other party from claims arising from its negligent acts, omissions, or breaches of this Amendment or the Original Agreement, except to the extent caused by the indemnitee's negligence or willful misconduct.

Termination

Termination rights under the Original Agreement remain in effect. In addition, either party may terminate this Amendment upon written notice if the other party materially breaches this Amendment and fails to cure within days after receipt of written notice.

Default and Remedies

Remedies for default shall include all remedies available at law or equity, including specific performance and recovery of costs and reasonable attorneys' fees. Nothing herein limits recovery available under the Original Agreement.

Dispute Resolution

The parties shall attempt in good faith to resolve disputes arising out of this Amendment through negotiation. If unresolved within 30 days, disputes shall be submitted to mediation. If mediation is unsuccessful, the parties shall submit disputes to binding arbitration under the rules mutually agreed in writing, and judgment may be entered on the arbitration award in any court of competent jurisdiction.

Governing Law; Entire Agreement

This Amendment shall be governed by and construed in accordance with the substantive laws of the state where the Property is located. Except as expressly modified by this Amendment, all terms, covenants and conditions of the Original Agreement remain in full force and effect. This Amendment, together with the Original Agreement and any executed Change Orders, constitute the entire agreement between the parties with respect to the subject matter hereof.

All notices required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below (or such other address as a party designates by written notice).
