What the Real Estate Draft Listing Agreement Is

A Real Estate Draft Listing Agreement is a preliminary written contract that outlines the proposed terms under which a property owner will engage a broker or agent to market and sell real property. It sets out the parties, proposed listing price, commission structure, term length, marketing responsibilities, property exclusions, and basic disclosures. Draft versions are used to negotiate terms before executing a final exclusive or non-exclusive listing. The draft can be revised, circulated for review, and used to capture initial agreements before formal signature and record-keeping steps occur.

Why a Draft Listing Agreement Matters

A draft clarifies expectations, preserves negotiation history, and reduces later disputes by recording agreed headline terms before the full contract is executed.

Why a Draft Listing Agreement Matters

Who Typically Prepares and Reviews the Draft

The draft is prepared by brokers, listing agents, or attorneys and shared with sellers for review before a final listing agreement is signed.

  • Listing brokers and agents who need to document proposed commissions and marketing plans for seller review.
  • Property owners (sellers) who want to confirm price, term, and exclusivity before committing.
  • Real estate attorneys and transaction coordinators who verify compliance and add contract protections.

Parties often use the draft to exchange edits, add disclosures, and schedule execution with notarization or electronic signatures as required.

Core Elements to Include in the Draft Listing Agreement

A professional draft should be structured, unambiguous, and include standard contract clauses so parties know what to expect at signature and closing.

Parties

Legal names of seller(s) and listing broker, including broker license number and brokerage firm name, to ensure correct contracting parties.

Property Description

Full street address, legal description, parcel ID, and included fixtures to avoid later disputes over what is conveyed or marketed.

Listing Price

Proposed asking price and any pricing authority granted to agent for negotiations or price reductions during the listing term.

Commission

Commission rate or flat fee, split instructions, conditions for payment, and circumstances that trigger commission (e.g., ready, willing, and able buyer).

Term and Termination

Start and end dates of the listing, auto-extension terms if any, and termination rights or cure periods for breach.

Disclosures and Compliance

Required seller disclosures, lead-based paint and other statutory statements, MLS rules, and any contingent terms or exclusions.

Step-by-Step: From Draft to Executed Listing Agreement

Follow a clear sequence to minimize errors and preserve negotiable history when converting a draft into an executed listing agreement.

  • 01
Prepare Draft: Populate essential fields and attach property disclosures.
  • 02
Review and Edit: Exchange edits with seller and counsel; track changes.
  • 03
Execute: Obtain signatures, notarization, or eSignatures as required.
  • 04
Distribute Copies: Send signed copies to seller, broker file, and MLS as applicable.

Configuring an Online Draft Workflow

Set up a repeatable digital workflow to route the draft for review, signature, and storage while capturing an audit trail.

Field Configuration
Upload Document PDF or DOCX; ensure final fields are flattened before sending.
Signer Order Define sequential or parallel signing and add signer contact details.
Authentication Select email, SMS PIN, or stronger KBA per transaction sensitivity.
Storage Location Choose secure cloud storage (Box, Google Drive, or internal repository).

Technical Requirements for Electronic Completion

Choose a platform that supports PDF/DOCX, audit trails, secure storage, and the signer authentication level you need.

  • File Types: PDF and DOCX supported for templates and final signed copies.
  • Integrations: Connect with MLS, CRM, or cloud storage like Google Workspace.
  • Authentication: Options include email, SMS code, and advanced ID verification.

Ensure the chosen platform supports retention, audit trails, and any required BAA or 21 CFR Part 11 controls for regulated workflows.

Where to Send the Draft and What Happens Next

A typical routing path ensures the draft reaches all stakeholders for review, signature, and final distribution to record-keeping systems.

  • To Seller: Send draft for review and countersignature.
  • To Broker File: Store an executed copy in the brokerage transaction folder.
  • To MLS: Publish listing after execution and required disclosures are complete.
  • To Closing Team: Share final terms with title company or closing attorney.

Typical Deadlines and Timing to Watch

Drafts and final listings have dates that trigger obligations; track them carefully and document any agreed extensions in writing.

Draft Review Period:

Seller and broker commonly allow 24–72 hours for initial review.

Effective Date:

Effective date starts the listing term and notice periods.

Mandatory Disclosures:

State disclosure deadlines vary; provide seller forms before listing.

MLS Submission:

Submit to MLS promptly after execution; MLS rules set timing.

Termination Notice:

Follow contract cure periods and written notice requirements.

Common Preparation Errors to Avoid

  • Using informal or abbreviated party names that differ from title records, which can delay closing and require corrective documents.
  • Leaving price or commission fields vague (e.g., 'negotiable') rather than stating definitive amounts or calculation methods.
  • Failing to attach required seller disclosures or incorrectly marking included/excluded fixtures, causing later buyer disputes.
  • Not specifying the governing state law or failing to include explicit termination procedures and notice addresses.

Potential Risks and Consequences of Errors

Commission Dispute: Disagreement over fee payment
MLS Penalty: Sanctions for late or inaccurate listings
Title Delay: Inaccurate names delay closing
Contract Voidability: Material omissions risk enforceability
Regulatory Violation: Broker license compliance issues
Financial Exposure: Potential indemnity claims
