Seller Default: If Seller materially breaches the exclusivity obligations set forth in this Reservation, Buyer may seek specific performance or recover actual damages incurred in reliance on this Reservation, provided Buyer has complied with all payment obligations hereunder.

Termination: This Reservation terminates upon the earlier of (a) execution of a binding purchase agreement executed by both parties for the Property, (b) expiration of the Reservation Period, or (c) written mutual termination executed by both parties.

Governing Law: This Reservation shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflicts of law principles.
