Compensation and Expenses

Client agrees to pay Broker the following compensation in consideration for Broker's services:

Commission shall be earned and payable upon closing of a sale or lease or upon procurement of a ready, willing and able purchaser/tenant under the terms acceptable to Client. Broker shall be entitled to compensation if, within days after the expiration or termination of this Agreement Client completes a transaction with a party procured by Broker during the term of this Agreement.

Payment of marketing expenses, advertising, and other out-of-pocket costs:

Broker Duties and Authority

Broker shall use reasonable efforts to market the Property, present offers, advise Client regarding negotiation strategy, coordinate inspections and closing details, and otherwise act as a fiduciary to Client consistent with applicable law. Broker is authorized to list the Property in applicable multiple listing services and to present promotional materials with Client's prior approval.

Client Representations

Client represents and warrants that Client is the lawful owner or is authorized to execute this Agreement for the Property, that the Property is not subject to undisclosed material defects, liens, or encumbrances other than those disclosed in writing to Broker, and that Client will timely deliver all necessary access, information, and disclosures required by law or reasonably requested by Broker.

Default, Termination and Remedies

Either party may terminate this Agreement upon written notice to the other party in the event of a material breach that remains uncured for days after receipt of written notice. Termination shall not affect Broker's right to compensation for transactions procured during the term or as otherwise provided herein. Remedies available to the parties include injunctive relief and damages; the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Indemnification

Client agrees to indemnify, defend and hold Broker and Broker's agents harmless from and against any losses, liabilities, claims, costs, and expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, misrepresentations regarding the Property, or Client's failure to perform obligations hereunder, except to the extent caused by Broker's gross negligence or willful misconduct.

Confidentiality

Broker will keep confidential Client's proprietary or non-public information and will not disclose such information except as required to perform Broker's duties, as required by law, or as authorized by Client in writing.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of . This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.

All notices, demands or other communications required or permitted hereunder shall be in writing and delivered to the addresses below by personal delivery, certified mail, or recognized overnight courier.
