Scope: The Broker shall perform customary brokerage services appropriate to the engagement type selected, including market analysis, marketing, showing property, negotiating offers, preparing required paperwork, and advising Client on contract terms. Broker shall use reasonable professional efforts to procure buyers/tenants or identify properties and shall not guarantee any particular result.

Termination: Either party may terminate this engagement upon written notice to the other party delivered in accordance with the Notices provision. Termination shall not relieve the Client of payment obligations for transactions where Client's property was procured by Broker or where Broker materially performed pursuant to this Agreement prior to termination, in accordance with the Compensation provisions below.

Compensation and Expenses

Commission: Client agrees to pay Broker a commission calculated as: % of the gross sale price  or Flat Fee: $

Commission Payable: Commission shall be due and payable at closing or upon consummation of a lease or other transaction for which Broker procured the counterparty. If Client transfers, leases, or sells the Property to a party introduced to Client by Broker within days after termination, Client shall pay commission as if the transaction closed during the Term.

Client authorizes Broker to incur marketing expenses up to the amount shown above without further authorization. Any amounts advanced by Broker that exceed this cap shall require written Client approval prior to expenditure.

Client represents that Client has the authority to enter into this Agreement, that the statements made herein are true and complete to the best of Client's knowledge, and that Client will promptly provide Broker with all material information affecting the Property or Client's ability to perform.

Dual Agency and Consent

Dual Agency: Broker may from time to time represent both parties to a transaction (dual agency) or have affiliated licensees represent other parties. Dual agency may limit Broker's ability to advocate exclusively for one party. Client acknowledges receipt of this disclosure and: Consents to dual agency Does not consent to dual agency

Confidentiality; Use of Information

Broker will treat confidential information provided by Client as confidential to the extent required by law. Broker may, however, disclose material facts about the Property to prospective purchasers/tenants and agents, and shall not be obligated to keep information that is public, rightfully received from another source, or required to be disclosed by law.

Indemnification and Liability

Client agrees to indemnify, defend and hold Broker harmless from claims, losses or damages arising out of Client's misrepresentations, failure to disclose material facts, or Client's breach of this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct. Broker's liability for any claim arising under this Agreement shall be limited to actual direct damages and in no event shall Broker be liable for incidental, consequential or punitive damages.

Default and Remedies

Upon material breach by either party, the non-breaching party may pursue all remedies available at law or equity, including specific performance where applicable. In any action to enforce Broker's right to commission, Broker shall be entitled to recover reasonable attorneys' fees and costs if awarded by a court.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

Notices

All notices required or permitted under this Agreement must be in writing and delivered personally, by certified mail (postage prepaid), or by courier to the addresses set forth below or such other address as a party may designate in writing.
