What the Real Estate Escrow Instructions Are

Real Estate Escrow Instructions are written directions from the contracting parties that tell an escrow agent or title company how to hold, manage, and disburse funds and documents during a real estate transaction. They identify the parties, describe the property, list required closing documents, specify conditions for release of funds (such as clear title, recording, lender requirements), and set deadlines for performance. These instructions form the operational roadmap escrow agents use to complete a closing and to minimize disputes by documenting each party’s expectations and required actions.

Why Clear Escrow Instructions Matter

Clear, written escrow instructions reduce ambiguity at closing, limit the escrow agent’s exposure, and help ensure timely funding and recording. Well-drafted instructions lower the risk of post-closing disputes and provide the basis for an audit trail if questions arise.

Why Clear Escrow Instructions Matter

Who typically prepares and relies on these instructions

All signatories should confirm names, amounts, dates, and contingencies before execution to avoid delays and liability.

  • Buyers, Sellers, and Real Estate Agents: Review and approve terms that affect deposit, prorations, and final disbursement.
  • Title Companies and Escrow Agents: Receive instructions, verify conditions, hold funds, and disburse at closing.
  • Lenders and Closing Attorneys: Confirm payoff, title requirements, and express any conditions for funding or recording.

Core parts to include in professional escrow instructions

A complete set of instructions documents the parties, amounts, conditions, and timing so the escrow agent can perform without further interpretation or repeated follow-up.

Escrow Agent

Name, address, license or agency details and the contact person the agent should use for questions and document delivery.

Deposits

Exact earnest money amount, acceptable payment method (wire, certified check), and the account or trust where funds should be held.

Disbursement

Specific conditions for releasing funds: recording, payoff, proration calculations, lender funding, and permitted payees.

Contingencies

List any contingency removals, inspection holdbacks, or cure obligations that must be satisfied before disbursement.

Documents

A checklist of title insurance, recorded deed, payoff statements, certificates, and any closing affidavits to be delivered.

Schedule

Closing date, deadline for funding, recording target, and any late-fee or extension provisions governing the timeline.

Essential fields to include on the escrow instructions

Buyer Name: Full legal name
Seller Name: Full legal name
Escrow Agent: Company and contact
Property Description: Legal description and address
Purchase Price: Exact dollar amount
Earnest Money: Amount and deposit method

Consequences of incomplete or incorrect instructions

Delayed Closing: Missed funding or recording
Misapplied Funds: Incorrect payee or account
Contract Breach: Failure to satisfy contingencies
Title Issues: Unresolved liens or encumbrances
Regulatory Risk: Improper handling of trust funds
Liability: Escrow agent or party exposure

Common pitfalls to avoid when preparing escrow instructions

  • Mismatched party names between contract, loan documents, and identification — a frequent cause of recording rejections and funding holds.
  • Incorrect wiring details or bank account numbers that lead to irreversible misdirected funds and potential fraud exposure.
  • Vague disbursement language such as 'as agreed' without cross-references to specific payoff amounts, prorations, or invoices.
  • Missing or expired signatures, witness blocks, or notarizations that delay recording and permit title insurers to decline coverage.

How to complete the Real Estate Escrow Instructions

Follow a consistent, auditable sequence so the escrow agent can perform closing tasks without ambiguity or back-and-forth clarification.

  • 01
Draft Instructions: Populate parties, amounts, and conditions from the purchase contract.
  • 02
Verify Information: Confirm names, property legal description, and payoff figures.
  • 03
Deliver Funds: Buyer provides earnest money per stated method and timeline.
  • 04
Close & Record: Escrow agent disburses funds and records deed per conditions.

Typical operational flow for handling escrow instructions

The operational workflow maps document transfer, signature collection, verification, and final disbursement into discrete steps an escrow provider follows.

  • Upload Instructions: Sender uploads the instruction package to the escrow system or email.
  • Assign Agent: Title company or escrow agent accepts and logs the matter.
  • Collect Signatures: Parties sign; authentication and notarization completed if required.
  • Create Audit Trail: Agent logs receipts, conditions satisfied, and final disbursement.

Setting up a digital escrow instructions workflow

Design the workflow to enforce signing order, authentication, and notifications so conditions cannot be bypassed and records remain auditable.

Field Configuration

Technical considerations for eSigning and eSubmission

Ensure the chosen provider can produce a tamper-evident signed PDF and meets any industry compliance requirements for your transaction.

  • Integrations: Salesforce, NetSuite, Microsoft 365 support
  • File Formats: PDF, DOCX, and fillable forms supported
  • Authentication: Email link, SMS, KBA, or advanced methods

Typical deadlines and timing expectations

Escrow instructions should clearly state date-driven triggers to prevent missed deadlines that could change obligations or incur penalties.

Earnest Money Deadline:

Buyer must deposit by specified date to keep contract in effect

Contingency Removal Date:

Inspection and financing contingencies must be removed by this date

Closing Date:

Target recording and funding date established in instructions

Recording Deadline:

Deed recording typically occurs same day or within a few business days

Final Disbursement:

Funds disbursed after recording and receipt of required payoff documents
