Buyer represents that Buyer has authority to enter this transaction and will act in good faith to complete closing subject to the terms herein and those in the Purchase Agreement.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the state in which the property is located. This document, together with the executed Purchase Agreement and delivered documents listed in the Documents Checklist, constitutes the entire agreement between the parties regarding essential transaction documents and supersedes all prior understandings whether written or oral.
