What a Real Estate Exclusive Agency Agreement Is

The Real Estate Exclusive Agency Agreement is a written contract between a property owner (seller) and a licensed broker that grants the broker exclusive authority to market and attempt to sell the property for a defined period while preserving the owner's right to sell the property directly without owing a commission. Typical provisions identify the parties, the property, listing price, commission structure, listing term, broker responsibilities, permitted marketing, required disclosures, and conditions for termination and post-termination buyer protection.

Why Use an Exclusive Agency Agreement

Use a Real Estate Exclusive Agency Agreement to document broker duties, set clear commission and term expectations, and reduce disputes by describing when compensation is earned and who may lawfully market the property.

Why Use an Exclusive Agency Agreement

Who Typically Completes This Agreement

Sellers and licensed brokers use a Real Estate Exclusive Agency Agreement to define listing authority, marketing responsibilities, commission terms, and the listing period.

  • Residential sellers seeking broker assistance while retaining the right to sell without commission.
  • Independent brokers or brokerage firms establishing exclusive marketing authorization for a specified term.
  • Investors or property managers listing single or multiple properties that need coordinated marketing and showings.

Agents, sellers, and their advisors should review the agreement before signing to confirm it matches state requirements and client expectations.

Core Elements to Include for Clarity and Enforceability

Essential provisions make the Real Estate Exclusive Agency Agreement predictable and enforceable; include clear party identification, property description, compensation language, time limits, broker responsibilities, and termination mechanics.

Parties

Identify the seller's full legal name(s), the brokerage legal entity, contact details, and authorized signatories to avoid title and enforcement issues in closing or disputes.

Property

Provide full street address, unit or lot number, county, and legal description when available; note any exclusions or items that are not part of the sale to prevent later disagreements.

Term

State exact listing start and end dates, renewal rules if any, and any post-termination protection period to clarify when the broker may be entitled to commission.

Commission

Specify percentage or flat fee, payment triggers (e.g., executed contract or closing), who pays the fee, and carve-outs for owner-sourced buyers or pre-existing buyer relationships.

Broker Duties

List marketing activities (MLS, advertising, open houses), showing procedures, disclosure duties, and reporting cadence so seller and broker expectations align.

Termination

Define notice procedures, grounds for termination, remedies for breach, and any dispute resolution methods such as mediation or arbitration.

ESIGN Noncompliance: Risk of invalid e-sign (15 U.S.C. §7001)
Tax Reporting: Incorrect forms trigger IRC §6721 penalties

Frequent Preparation Mistakes

  • Failing to specify exclusions and fixtures clearly, leading to post-closing disputes about what is included and potential litigation.
  • Using vague commission language or failing to state payment triggers, which can result in unpaid fees or arbitration over entitlement.
  • Omitting the listing term end date or protection period details, creating ambiguity about broker compensation for introduced buyers near termination.
  • Relying on handwritten amendments without initialing or failing to obtain all required signatures, risking enforceability at closing.
