REAL ESTATE EXCLUSIVE CONTRACT

Seller hereby grants Broker the exclusive right to market, advertise and solicit offers for the sale of the Property described above. During the exclusive term set forth below, Seller will not list, advertise, or negotiate the sale of the Property with any other broker or prospective purchaser without Broker's prior written consent. Broker's exclusive authority includes the right to place the Property in cooperative marketing systems and to engage cooperating brokers.

Term of Agreement

This Exclusive Contract commences on Month Day Year and terminates on Month Day Year , unless earlier terminated in accordance with this Agreement.

Listing Price & Financial Terms

Commission shall be earned and payable upon closing of the sale or upon any other event that entitles Broker to compensation under this Agreement, including performance by Broker in procuring a ready, willing and able buyer during the term. If a buyer procured by Broker enters into a contract to purchase after expiration of the term but resulted from Broker's efforts, Seller shall remain obligated to pay the commission described herein.

Earnest Money / Deposit

Inspections and Contingencies

Inspection period provided to Purchaser shall be days from contract acceptance. Seller agrees to allow reasonable access for such inspections. Any objection notices shall be delivered in writing within the inspection period. Broker is not responsible for inspection outcomes; Seller remains responsible for disclosure of known material defects.

Financing contingency (if any): days to secure commitment under terms specified in any purchase contract negotiated by Broker.

Marketing, MLS and Cooperation

Broker shall have the right to market the Property, place the Property in multiple listing services, advertise in print and electronic media, and show the Property to prospective buyers and brokers. Seller authorizes Broker to place signs on the Property and to provide access for showings. Seller authorizes Broker to cooperate and share compensation with cooperating brokers.

Seller Representations and Disclosures

Seller represents that Seller is the lawful owner of the Property and has full authority to execute this Agreement. Seller will disclose material facts affecting the Property known to Seller, including but not limited to structural defects, environmental conditions, hazardous materials, prior damage or repairs, and any pending legal actions affecting title or use.

Condition of Property and Repairs

Except as disclosed in writing, the Property is offered in its present condition. Seller shall be responsible for repairs expressly required by a purchase contract accepted by Seller. Seller authorizes reasonable pre-listing repairs up to the amount of without further written approval.

Default and Remedies

If Seller materially breaches this Agreement, Broker may pursue remedies available at law or in equity, including recovery of the commission earned, costs, and reasonable attorneys' fees. If Broker breaches its material duties under this Agreement, Seller may pursue remedies including termination and damages as permitted by law. Parties agree that any commission dispute shall first be submitted to non-binding mediation before initiating litigation.

Termination

This Agreement may be terminated by mutual written consent or by the expiration of the term. Early termination by Seller without cause may subject Seller to payment of reasonable marketing and administrative costs and, if applicable, commission as set forth herein where a ready, willing and able buyer, procured by Broker, completes purchase within a protection period of days following termination.

Notices

Notices under this Agreement must be delivered in writing to the addresses provided below and are effective upon receipt when delivered personally, by certified mail, or by commercial overnight delivery.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located. This document contains the entire agreement between the parties concerning the listing and supersedes all prior agreements, understandings and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
