REAL ESTATE EXCLUSIVE LISTING AGREEMENT

This Exclusive Listing Agreement (the Agreement) is made and entered into as of by and between:

Seller grants Broker the exclusive right to sell the Property beginning on and expiring on (the Listing Period). During the Listing Period Broker shall be the sole and exclusive agent authorized to procure a purchaser for the Property.

LISTING PRICE & AUTHORITY

Broker is authorized to place signs, advertise, list the Property in cooperative databases, and to market the Property by such means as Broker deems appropriate. Seller authorizes Broker to place the Property on the local multiple listing service and to provide property access to cooperating brokers and prospective purchasers.

COMPENSATION & COMMISSION

Seller agrees to pay Broker a commission of:

Commission shall be earned and payable at the closing of a sale of the Property to any buyer who is procured by Broker, Seller, or any other party during the Listing Period, or within days after expiration of the Listing Period if the buyer was introduced during the Listing Period (Protection Period). The commission is payable from the sale proceeds at closing unless otherwise agreed in writing.

Broker may offer compensation to cooperating brokers. Any agreement to reduce or waive commission must be in writing and signed by both Broker and Seller. If Seller procures a buyer directly, commission is due if the buyer was introduced to the Property during the Listing Period or the Protection Period.

EARNEST MONEY / DEPOSIT

SELLER REPRESENTATIONS AND DISCLOSURES

Seller represents and warrants that Seller is the lawful owner of the Property and has full authority to enter this Agreement. Seller agrees to promptly deliver all material property disclosures and to disclose known material facts.

ACCESS, SHOWINGS & MAINTENANCE

Seller agrees to provide reasonable access to the Property for showings, inspections, appraisals and to maintain the Property in substantially the same condition as presented at the time of listing, reasonable wear and tear excepted. Seller authorizes Broker and cooperating brokers to show the Property to prospective buyers.

INSPECTIONS AND REPRESENTATIONS

Broker makes no warranty as to the physical condition of the Property. Seller authorizes Buyer inspections and agrees that Seller will provide access and all documents necessary for customary inspections. Seller shall not knowingly misrepresent material facts.

DEFAULT, REMEDIES & TERMINATION

If Seller breaches this Agreement, Broker shall be entitled to pursue all remedies available at law or equity including recovery of the commission provided herein, subject to any applicable mitigation requirements. This Agreement may be terminated by mutual written consent. Termination by Seller without cause prior to expiration does not relieve Seller of obligations to Broker for commissions on pending sales where Broker is the procuring cause.

INDEMNIFICATION, ATTORNEYS' FEES & GOVERNING LAW

Seller shall indemnify, defend and hold Broker harmless from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Seller's breach of this Agreement or Seller's failure to disclose material facts. This Agreement shall be governed by the laws of the state where the Property is located.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the listing of the Property and supersedes all prior agreements, whether oral or written. Any amendment must be in writing and signed by both parties.
