What the Real Estate Exclusive Price Amendment Is

A Real Estate Exclusive Price Amendment is a written change to an existing exclusive listing agreement that modifies the listed sale price, clarifies broker compensation adjustments, and records the parties' mutual consent. It references the original listing, identifies the property by address or legal description, specifies the new price and effective date, and must be signed by the seller and the listing broker (and any required co-signers). The amendment preserves continuity of the listing terms while documenting a discrete pricing change for transaction, MLS, and recordkeeping purposes.

Why a Clear Price Amendment Matters

A documented amendment reduces disputes, preserves brokerage commission terms, and provides a clear audit trail for MLS and closing. When executed properly it creates a binding modification to the listing under ESIGN and UETA principles and helps ensure all parties and cooperating brokers rely on the same effective price.

Why a Clear Price Amendment Matters

Who Typically Prepares and Signs This Amendment

Parties vary by role but the amendment is most often prepared by brokers or sellers and acknowledged by cooperating agents.

  • Listing broker: Prepares or reviews the amendment, confirms MLS updates and documents commission adjustments.
  • Seller / property owner: Signs to accept the new price and any related changes to seller obligations.
  • Cooperating agent / buyer's agent: Receives notice and may rely on the amended price when presenting offers.

Clear signatory roles and documented consent reduce closing delays and minimize later disputes among agents and principals.

Core Elements to Include in a Professional Amendment

A complete amendment is concise but precise; include only what changes and reference the original agreement for unchanged terms.

Amendment Reference

Cite the original exclusive listing agreement by date and parties so the amendment clearly ties to the correct contract.

Property Description

Use full street address and, when available, legal lot or parcel number to avoid ambiguity in multi-parcel listings.

New Price

State the exact dollar amount for the revised listing price, avoiding ranges or qualifiers that could cause misinterpretation.

Effective Date

Specify the date the new price takes effect; this controls MLS posting and buyer offer expectations.

Compensation

Confirm whether broker commission or cooperating broker splits change as a result of the price amendment.

Signatures

Provide signature blocks for the seller and listing broker; include printed names and signature dates for each signer.

Step-by-Step: Executing the Price Amendment

Follow these four steps to prepare, execute, and distribute a legally effective amendment.

  • 01
Draft Amendment: Prepare text referencing the original listing and stating the new price.
  • 02
Review with Parties: Confirm terms with seller and counsel as needed.
  • 03
Sign and Date: Obtain signatures from seller and listing broker; record effective date.
  • 04
Distribute Copies: Provide copies to cooperating brokers and update MLS promptly.

Where to Send the Executed Amendment

Routing the signed amendment to the correct parties and systems closes the loop and preserves evidence of acceptance.

  • Listing Brokerage: Keep the executed amendment in the brokerage transaction file for compliance.
  • Cooperating Brokers: Provide a copy so buyer agents rely on the updated price.
  • MLS Entry: Update the MLS listing to reflect the new price per local MLS rules.
  • Closing File: Include the amendment in closing documents and escrow instructions as needed.

Technical Considerations for Digital Amendments

Choose file formats and authentication that preserve legal validity and ease of use.

  • File formats: PDF, DOCX supported
  • Integrations: MLS, CRMs, cloud storage
  • Authentication: Email, SMS, or advanced methods

Timing to Watch When Amending a Listing Price

Timely execution and distribution prevent mispriced offers and MLS listing inaccuracies.

Amendment Before Offers:

Execute before presenting new offers to avoid conflicting expectations.

Effective Date Rule:

The effective date governs when cooperating brokers must honor the price.

MLS Update Window:

Update MLS within 24–48 hours per local MLS rules.

Closing Impact:

Confirm final price for contracts and escrow instructions at contract ratification.

Recordkeeping:

Store executed amendment with the transaction file immediately.

Key Milestones from Draft to File

A short milestone sequence helps teams coordinate drafting, approval, execution, and distribution.

01

Draft Created

Prepare and reference the original listing agreement.

02

Seller Approval

Seller reviews and accepts the revised price.

03

Execution

All required signatures and dates are collected.

04

Distribution

Common Preparation Errors to Avoid

  • Failing to reference the original listing agreement, creating uncertainty about which terms remain in force.
  • Using imprecise property descriptions that lead to confusion on multi-parcel or multi-unit listings.
  • Omitting required signatures or dates, which can render the amendment unenforceable or delay MLS updates.
  • Not updating cooperating brokers or MLS promptly, resulting in offers based on outdated pricing.

Potential Consequences of an Improper Amendment

Contract Ambiguity: May lead to disputes or renegotiation
MLS Violations: Can trigger fines or listing sanctions
Commission Dispute: Unclear compensation adjustments risk litigation
Closing Delays: Incorrect price can require corrective documents
Recordkeeping Failures: Missing amendment complicates audits
Tax Impacts: Incorrect sale price reporting risks adjustments
